공정거래법 개정안에 관한 분석과 평가 (The Appraisal on the Full Revision Bill of the Monopoly Regulation and Fair Trade Act)

초록

1980년에 제정된 「독점규제 및 공정거래에 관한 법률」 (이하 “공정거래법”이라 한다)은 2018년 9월 18일 개정법을 포함하여 무려 29회에 걸쳐 개정이 되었다. 최근 경제적, 사회적 요구에 따라 개정의 필요성이 제기되었는데, 정부안에서도 알 수 있듯이, 법이 제정된 이후 경제 환경과 시장 상황이 급격히 변화하였으며, 공정 경제에 대한 사회적 수요가 증가한 것이 주요 이유이다.
이에 공정거래위원회는 공정거래법 개선 특별위원회를 설치하고 2차례의 전체회의 및 소위원회 21차례의 분과회의 거쳐 「공정거래법 전면개편 방안 최종 보고서」를 확정하였다. 최종안은 2018년 11월 30일 각 정부 부처와 이해관계자의 의견을 수렴하여 국회에 제출되었다. 정부안 제출에 관한 공정거래위원회의 후속 조치로서 공청회 등을 활용하여 주요 이슈에 대한 여러 차례의 토론과 논의를 계속하여 왔고, 경제계 등 이해관계자의 반대가 큰 쟁점과제에 대해서는 개선·보완 방안을 검토하고 있으며, 개정안 시행에 필요한 시행령 및 하위규정에 대한 사전 준비 작업에 박차를 가하는 등 상당히 공을 많이 들이는 모습이고, 국회에 대하여도 입법의 필요성을 계속 설명하고 있다.
다만, 현재의 입법 상황을 보면, 2019년 3월 정무위원회 제3차 전체회의 이후 국회의 심의가 거의 진행되지 않고 있으며, 제20대 국회의원의 임기가 임박해옴에 따라 입법이 무산될 가능성이 상당히 커져 있는 상태이다. 정부안은 다음 국회에서도 유용한 입법 참고자료가 될 수 있기 때문에 지금 이 법률안을 다시 한 번 점검해보는 것은 나름대로의 의미가 크다고 하겠다. 현재 국회에는 두 가지 전부개정안을 포함하여 총 111개의 개정안이 상정되어 있다.
정부안의 전반적인 내용을 보면, 과징금 부과상한의 상향, 경성담합에 대한 전속고발제 폐지, 불공정거래행위에서 사인의 금지청구제도 도입 등 민사, 행정, 형사적 규율수단을 종합적으로 개선하는 부분이 있고, 경제력 집중 억제시책의 합리화 명분에 따라 대기업집단의 일감몰아주기 행태의 시정과 기업집단의 지배구조 선진화에 노력하는 한편, 피심인의 방어권 확대와 공정거래위원회 조사의 적법절차 강화를 통하여 사건처리의 투명성 제고 등 전반적인 법체계 및 구성을 재정비함으로써 공정하고 혁신적인 시장경제 시스템을 구현하고, 21세기 변화된 경제환경에 부합하도록 하는 것 등 공정거래법제의 전면적 개선을 도모하고 있다. 이 논문에서는 정부안의 개정내용을 전반적으로 살펴보고, 경쟁법제, 기업집단법제, 절차법제 등 각 주제별로 개정안의 조문과 함께 평가를 곁들여 서술하기로 한다.

영어초록

The Monopoly Regulation and Fair Trade Act (hereinafter referred to as the “MRFTA”), which was enacted in 1980, has been revised 29 times including the Act on 18 September 2018. All of these revisions has been made partially so far, except only once in 1990. Recently, the need for revision was raised depending on the economic and social needs of the time. As indicated by the government's proposal of the MRFTA, the economic environment and market conditions have changed drastically since the establishment of the Act, and the social demand for the fair economy has increased.
Accordingly, the Korea Fair Trade Commission established the Special Committee on Improving MRFTA (hereinafter referred to as the “Special Committee”) and finalized the Final Report on the Plan for Reorganization of the MRFTA through two general meetings and 21 subcommittees. The final draft was submitted to the National Assembly on November 30, 2018, with the opinions of the ministries and stakeholders. As a follow-up by the Korea Fair Trade Commission on the submission of government proposals, the government will continue to fully discuss the major issues, debates and public hearings, and continue to explain the need for legislation to the National Assembly.
However, in the current legislative situation, after the 3rd plenary session of the National Policy Committee in March 2019, the deliberations in the National Assembly have not progressed much, and the term of the 20th National Assembly is imminent, the possibility of legislative failure has increased considerably. Even so, the government's proposal could be a useful legislative reference for the next Congress, so it is worthwhile to review it now. A total of 111 amendments, including two amendments, are currently proposed, and so many legislative proposals are in reality.
The overall contents of the government's proposal are to comprehensively improve the civil, administrative, and criminal measures, such as raising the penalty limit, abolishing exclusive prosecution for hardcore cartel, and introducing a system of injunctive relief and private antitrust enforcement of unfair trade practices. In line with the rationalization of the policy to suppress economic concentration, efforts are made to rectify the behavior of conglomerates and advance the corporate governance structure, while expanding the defense of the examinee and strengthening the due process of the Korea Fair Trade Commission's investigation. By reorganizing the overall legal system and composition, such as improving transparency in processing, we are trying to improve the fair trade legislation by implementing a fair and innovative market economy system and conforming to the changed economic environment in the 21st century. This paper discusses on the brief review of the proposals of the government, and each subject is accompanied by an appraisal and a description.
