외국기업의 한국거래소 상장효과에 관한 연구 (A Study on the Effects of Listing on the Korea Exchange for Foreign Firms)

초록

한국 자본시장의 글로벌화를 추진하기 위해 한국거래소는 그동안 외국기업의 유치를 위해 많은 노력을 기울였다. 그 노력으로 다수의 외국기업들이 국내시장에 상장하였지만 상장 후에 어떤 효과를 보고 있는지는 의문이다. 이를 위해 본 연구에서는 2010년부터 2018년까지 한국거래소에 상장한 외국기업과 국내기업을 대상으로 비교분석을 통해 외국기업의 상장효과에 대해 알아보고자 한다.
분석의 결과를 요약하면 다음과 같다. 우선 평균차이 검증결과, 외국기업은 국내기업보다 저가발행의 정도가 더 크며, 규모가 크고, 성장성이 높으며, 나이는 적으며, 발행규모는 큰 것으로 확인되었다. 하지만 수익성, 안정성, 자본적정성 및 공동주관사더미는 유의한 차이가 나타나지 않았다. 다음 프로빗 회귀분석결과, 국내에 상장한 외국기업의 저가발행 정도는 국내기업보다 큰 것으로 확인되었다. 이러한 차이는 기업의 특성에서 기인한 것으로, 외국기업의 경우 국내기업보다 상대적으로 규모가 크고, 성장성은 높지만 수익성은 낮은 것으로 확인된다. 주관사와 관련된 변수는 모두 유의하지 않은 것으로 나타나 국내와 외국 기업에 따라 주관사의 특성에 차이가 없는 것으로 해석된다.
본 연구는 한국시장에 상장한 국내기업과 외국기업을 처음으로 비교하여 상장효과를 확인하였다는데 나름의 학술적 의미를 가진다. 선진 자본시장으로의 해외상장은 기업에게 주주 다원화라는 점에서 감독이 강화되고 제도적인 측면에서 기업의 투명성이 제고된다는 긍정적인 효과를 가져다준다. 하지만 기업의 자구적인 노력이 뒷받침되지 않을 때 이는 달성하기 힘들며 최악의 경우 상장폐지라는 결과를 초래하게 된다. 이상의 결과는 한국 자본시장의 IPO 활성화를 위해 상장과 관련된 규제와 심사요건을 완화하는 것도 좋지만, 합리적인 심사와 평가를 통해 경쟁력이 있고 지속적으로 성장 가능성이 있는 우수한 기업의 상장을 추진해야만 선순환구조를 이끌어낼 수 있음을 시사한다.

영어초록

The Korea Exchange has exerted much effort toward attracting foreign firms in order to push forward with the globalization of the South Korean capital market. Thanks to such an effort, many foreign firms have been listed in the domestic market, but there are questions as to what effects these firms have been able to reap since their listing. Toward this purpose, the present study attempts to examine the effects of listing for foreign firms by comparatively analyzing foreign and domestic firms listed on the Korea Exchange from 2010 to 2018.
The results of the analysis are summarized as follows. First, the t-test results show that the level of underpricing is greater, the size is greater, the growth is bigger, the age is younger, and the deal size is greater for foreign firms than for domestic firms. However, there were no significant differences in terms of profitability, stability, capital adequacy, co-lead manager dummies. Next, probit regression results show that the level of underpricing for domestically listed foreign firms was greater than that of domestic firms. These differences can be found in the characteristics of the firm, with foreign firms indicating relatively greater size, greater growth, but lower profitability than domestic firms. Variables related to the lead manager all appeared not to be significant, leading to the interpretation that there are no differences regarding the characteristics of the lead manager whether or not the firm is a domestic or a foreign firm.
The present study identified the effects of listing by directly comparing domestic and foreign firms listed on the South Korean market. This in its own way has academic significance. As advanced capital markets, overseas markets bring about positive effects by fortifying supervision in the form of diversifying shareholders and by improving the transparency of the firms from an institutional aspect. However, these results are hard to achieve without voluntary support from the firms themselves, and in the worse case, can bring about the delisting of the firm. The above results imply that relaxing regulations and listing requirements for foreign firms can be beneficial, but only by moving forward with the listing of excellent firms through reasonable evaluation and assessment can a virtuous cycle be drawn out.
