역사적 관점에서 본 국제투자법 (The Historical Analysis of International Investment Law)

초록

현재 국제투자법의 특징적인 모습은 내용상 큰 차이가 없는 약 2500개의 BIT가 짧은 기간에 체결되면서, 다자간 투자협정을 체결하려는 노력이 실효를 거두지 못하는 것이다. 국제투자법이 이러한 모습을 보이게 된 이유를 역사를 분석하는 것이 이 논문의 주된 내용이다. 식민제국주의 시대에는 국제투자법을 입법할 수 있는 실질적인 능력을 갖춘 주체가 자본수출국인 제국주의 국가라는 것과 투자자보호를 위하여 무력사용이 허용되었다는 것을 반영하여 국제투자법은 다음과 같은 특징을 가지고 있었다.
첫째, 국제투자에 관한 규범은 투자자보호를 강조한 것이지만 그 내용은 정교하지 못하였다.
둘째, 투자규범 준수를 보장하는 절차와 제도는 미비하였다.
셋째, 이러한 약점을 군사력에 의해 뒷받침되는 외교적 보호권으로 보완할 수 있었다.
제2차 세계대전 후에서 1980년대 말까지는 신생독립국과 공산주의 국가들의 국제투자에 대한 적대적 태도로 인해 국제투자에 관한 국제관습법이 혼돈상태에 빠지게 되었다. 그리고 무력을 투자자보호의 수단으로 사용하는 것도 금지되었다. 그 결과 많은 신생국들은 보상 없는 혹은 명목상의 보상만 하는 국유화조치를 취하였고, 선진국들은 이에 대한 보장책을 마련하는 것이 시급하였다. 이에 선진국과 개도국 간에 BIT가 체결되기 시작하였으나, 그 수가 많지는 않았다. 그리고 그 내용도 소극적인 투자의 보호에 치중하는 것이었고, 투자자유화와 같은 적극적인 내용을 담고 있는 것은 예외적이었다.
1990년대 이후에는 개도국들의 투자를 할 자본조달 수단의 위축과 공산주의 국가들의 붕괴로 각국은 투자유치 경쟁에 돌입하였다. 혼돈상태에 있는 국제투자에 관한 법규를 명확하게 하기 위한 BIT의 수가 급증하였다. 내용적으로도 소극적인 투자보호에서 투자자유화 등의 적극적인 내용도 담게 되고, ISD가 활성화되었다. 그런데 2000년대 들어 미국을 중심으로 투자자보호를 다소 축소하는 움직임도 나타나고 있는데, 그 이유는 미국이 ISD의 피소국이 되었던 NAFTA에서의 경험 때문이다. 그리고 ISD의 활성화는 BIT의 해석에 우산조항과 MFN조항을 분쟁해결절차에 원용할 수 있는가 하는 새로운 이슈들도 제기하고 있다.
이러한 역사적 분석을 통하여 국제투자법의 앞으로의 모습도 예측해보았다. 국제투자를 대체하는 자본조달 수단의 활성화정도, BIT가 국제투자유치에 기여하는 정도, 인권침해와 환경파괴의 가속화 등 국제투자 활성화가 야기하는 부작용에 대한 우려를 BIT가 어느 정도 수용하는가의 여부에 국제투자법의 미래의 모습이 달려 있는 것으로 생각된다.

영어초록

The most remarkable fact on international investment law is that the number of BITs has reached more than 2500 and the number has accelerated in recent years. This paper analyses the reason through historical development of international investment law.
The history of international investment law thus far comprises three eras: Colonial Era, Post Colonial Era(1945-1980s), and Globalization Era (1990s - present).
The important circumstantial factors in the colonial era were as follows:
1. The intentional investment law reflected the sole interest of imperial States;
2. The use of military force was recognized as legal measure to protect the interest of investors.
Reflecting these factors, the characteristics of international investment law in colonial era may be summarized as follows:
1. The content of the standard applied to protect foreign investment was vague.
2. The legal mechanism for the protection of foreign investment was inadequate.
3. The use of military force was effective enough to supplement the weakness of the contents and enforcement.
In post-colonial era, the traditional international customary law on investment protection was challenged by the newly-independent States and Communist States, which made international investment law in chaos. The effective enforcement measure for the protect of investor, use of military force, was prohibited by the UN Charter. And as several States did nationalize the investment of their national, developed countries tried to provide clear rules for the protection of their investors. Against this backdrop, BITs began to be concluded between developed country and developing country. But the number was limited due to the negative attitude of host countries. Its content was focused on the protection of investment, not including the liberalization of investment, with exception of the BITs of U.S..
The significant factors of globalization era, which decided the remarkable phenomena of international investment law were as follows:
1. the ideological conflict melted down due to the collapse of former communist states.
2. The alternative source of capital to investment was severely limited due to the debt crisis of 1980s in Latin America, the use up of the available capital by the government deficit of U.S. and the reduction of public aids.
These factors caused the developing countries to abandon their hostility to foreign investment and to try to attract foreign investment. Against these backdrop, the globalization era witnessed the explosion in the number of BITs and changes in its content to include investment liberalization and effective enforcement mechanism, i. e. ISD.
The future of international investment law seems to be influenced by those factors: how effective the alternative source of capital will be, how effective BITs will be to contribute the increase of foreign investment, and how effectively BITs will accommodate the demand of human rights society and environment protection community.
