초록

가상자산은 블록체인 분산원장 내 P2P 방식(person to person)으로 거래가능한 기존에 없었던전자현금 시스템이다. 새로운 금융산업의 전통적인 금융시장 거래과정에서 필수적으로 거쳐야하는 은행이나 정부기관 같은 중개자가 필요없고 거래의 신뢰비용이 획기적으로 줄어듦으로인해 경제성이 뛰어나고 분산원장의 특성상 거래의 정확성과 투명성 및 신속성에서 큰 장점을가지고 있다. 특히 특성상 시간과 장소에 구애받지 않으며 거래가 가능하기에 4차산업혁명 시대의 핵심 아이콘으로 떠오르고 있다.
가상자산 기술을 이용하여 4차산업이 확장될 경우 은행 수탁 서비스와 블록체인 기술, 지갑업체, 기관 투자자, 교육 기관, 마케팅 업체 등으로 다양한 사업이 새롭게 창출되며, 특히 금융회사에서 디지털 화폐 개발에 있어서 기반 기술로 활용될 수 있으며 그 적용범위는 계속 확대되고있어 그 잠재력은 무한하다고 할 수 있다. 하지만 단점도 분명히 존재하는데, 높은 익명성을바탕으로 불법 테러자금 조달, 자금세탁 및 탈세, 도박, 투기, 다단계, 사기 등 지하경제에 적극활용되어 범죄에 악용되는 위험성이 공존하기 때문에, 우리나라 금융당국은 2017년 국내에서벌어졌던 비트코인 투기광풍 시점에 가상자산에 대해 부정적인 정책적 기조를 유지했으며, 꾸준하게 관련 산업에 대해서는 강경한 입장과 규제 정책을 유지하고 있다.
2020년 3월 국제자금세탁방지기구인 FATF의 가상자산 권고안을 국내법에도 반영한 「특정금융거래정보의 보고 및 이용 등에 관한 법률」의 개정을 통해 가상자산사업자와 가상자산에대한 정의규정을 신설하고 가상자산사업자에게 기존 금융회사에 준하는 의무를 부과하였지만, 가상자산의 법적 성격은 여전히 명확하게 규정되지 않았으며, 가상자산사업자의 금융투자자에 대한 구체적인 보호 의무나 손해배상 의무에 관한 규정이 존재하지 않아 투자자에 대한 보호조치는 부족하다.
이러한 이유로 가상자산 이용자의 피해에 대한 권리구제 방안의 법적 조치의 강화가 필요하다. 첫째, 규제 샌드박스 제도를 활용해 가상자산을 활용한 혁신적 금융기술을 보유한 핀테크기업과 스타트업 기업의 시장 진출을 통해 가상자산 사업자에 대한 과도한 규제를 완화하여, 국내에 있는 가상자산산업의 글로벌 경쟁력을 강화하는 것이 필요하다.둘째, 가상자산은 증권형토큰, 거래용 토큰, 유틸리티 토큰으로 분류할 수 있으며, 가상자산사업자를 가상자산거래소, 가상자산 지갑업체, ICO 발행업체 및 가상자산 수탁(custody) 서비스 제공업자의 4유형으로 분류할 수 있다. 각 사업자들은 가상자산 시장 내에서 용도에 따라서 규정이 상이한데, 금융투자자를보호하고 성장시킬 방안을 제시하였다.
그리고 가상자산 거래소 이용자를 위한 사전 보호대책으로 특정금융정보법 시행령 개정안을통과한 가상화폐 거래소 임직원이 본인이 근무하는 거래소에서 매매, 교환을 금지해야 한다. 나아가 가상자산거래소 내의 보안체계를 강화하여 가상자산 유출 사고를 미연에 방지하고, 해킹에 취약한 가상자산거래소에게 가상자산의 콜드월렛 보관 방식을 의무화하여 자체적으로 해킹방지를 위한 조치를 취하도록 해야 한다. 또한 가상화폐의 법적 지위를 인정하면서, 금융소비자보호법의 적용을 통해 가상자산거래소의 영업행위 규정을 마련하여 가상화폐 투자자의 투자피해 구제방안을 시급히 마련해야 한다.

영어초록

Virtual assets are greeted by a non-existing electronic money system that can be traded by the P2P method (person to person) within the block-chain decentralized director. By significantly reducing the trust costs of transactions that are not required by intermediaries such as institutions, it has great advantages in terms of economic efficiency and due to the characteristics of the decentralized director, it has great advantages in transaction accuracy, transparency and speed. It has emerged as a core icon in the era of the Fourth Industrial Revolution, which can be traded regardless of time and place.
First, by utilizing the regulatory sandbox system to enter the market of fintech companies and start-up companies that possess innovative financial technologies that utilize virtual assets, excessive regulation on the virtual asset business will be eased and domestic virtual assets will be relaxed. The aim was to strengthen the global competitiveness of the asset industry.
Second, virtual assets are categorized into securities type tokens, utility tokens, and trading tokens, and virtual asset companies are categorized into four types: virtual asset exchanges, virtual asset storage service providers, virtual asset wallet providers, and ICO issuers. Regulations differ depending on the usage in the virtual asset market.
Additionally, as a preliminary protective measure for users of virtual asset exchange, I propose a countermeasure system for safe protection against the threat of hacking through establishment of an internal security system for virtual asset exchange, prior hacking and prevention of personal information. A cold wallet storage system that is essential for leaks and virtual assets. A recent cabinet meeting announced that employees of crypto-currency exchanges that have passed a specific amendment to the Enforcement Ordinance of the Financial Information Law will be prohibited from buying, selling or exchanging at the exchange where they work.
Korea does not have a law that regulates the legal nature of virtual currency and protects virtual currency investors. Under the current law, virtual currency is not recognized as a legal currency, and virtual currency is generally stored through a wallet, but virtual wallet providers store users’ virtual currency mixed, so it will be difficult to define it as “money” and assets.
On the other hand, the legal nature of virtual currency should be defined as a product as individuals trade a significant amount of virtual currency through the exchange and individuals can individually manage and control wallets with private keys.
If the legal nature of virtual currency is defined as a product and the contract between the user and the exchange is interpreted as consignment trading under the Commercial Act, unlike Mount Gox’s ruling, investors can exercise their right to redeem under Article 407 of the Debtor Rehabilitation and Bankruptcy Act. In other words, in the case of exchange users who suffered damage due to the bankruptcy of the exchange, effective rights relief can be obtained by exercising the redemption right from the bankruptcy foundation as a consignor and requesting the delivery of virtual currency.
