지상물매수청구권 포기약정의 효력 (The Validity of Abandonment Stipulation of the Right to Demand for the Ground Facilities Purchase)

초록

토지임차인의 지상물매수청구권은 토지임차권보호라는 특별한 의미를 가지고 있다. 이러한 지상물매수청구권의 실효성을 확보하기 위하여 지상물매수청구권을 규정하고 있는 민법 제643조의 규정에 위반하는 약정으로서 토지임차인에게 불리한 것은 무효라고 하는 강행규정(민법 제652조)을 두고 있다.
따라서 지상물의 소유를 목적으로 한 토지임대차의 경우 임대차 기간 만료시 토지임차인이 지상물을 임대인에게 양도하거나 철거하기로 하는 약정은 일반적으로 임차인에게 불리한 것이므로 무효가 된다.
그러나 토지임대차계약의 조건, 계약체결의 경위와 제반 사정 등을 종합적으로 고려하여 그 포기약정이 실질적으로 토지임차인에게 불리하지 아니한 경우에는 유효하다고 할 것이다.
지상물매수청구권 포기약정이 토지임차인에게 불리하여 무효인지를 판단함에 있어서 분리판단설과 종합판단설이 있지만 구체적 타당성의 관점에서 보아 임대차계약체결의 경위나 계약기간, 임대료 등의 계약조건, 매수청구권 포기약정이 성립된 배경 등의 여러 사정을 종합적으로 고려하여 판단해야 한다고 하는 종합판단설이 타당하다고 생각한다.
본 논문에서는 지상물매수청구권 포기약정을 하였다 하더라도 그것이 토지임차인에게 실질적으로 불리한지 여부를 판단할 때 구체적으로 고려해야 할 요인들을 검토하였고, 합의해지와 동시에 지상물매수청구권 포기약정을 한 경우와 지상물매수청구권 포기약정 후에 매수청구권을 행사한 것이 신의칙에 위반하는지 여부도 검토하였다.

영어초록

The right to demand for the ground facilities purchase of the land lessee has a special meaning of protecting the right of land lease.
An enforcement provision-the Article 652 of the Civil Law-is prepared to secure the effectiveness of the right to demand for the ground facilities purchase. According to this provision, everything that goes disadvantageous to the land lessee as a stipulation against the provision of the Article 643 of the Civil Law stipulating the right to demand for the ground facilities purchase is considered null and void.
So in case of the land lease for possessing the ground facilities, the stipulation is null that the land lessee transfers or removals the ground facilities to the land lessor at the expiry of the lease term because it is generally disadvantageous to the land lessee.
However, the stipulation can be valid in the case that the abandonment stipulation is not virtually disadvantageous to the land lessee upon full consideration of conditions of the land lease, contexts and various matters of conclusion of a contract, etc.
In general, there are two theories in judging if abandonment stipulation of the right to demand for the ground facilities purchase is null or not just in case it goes disadvantageous to the land lessee: a separate judgment theory and a comprehensive judgment theory. But the latter is regarded as more appropriate in terms of the concrete validity in that the theory claims a comprehensive judgment in consideration of various factors including contexts such as details of conclusion of a contract, conditions of a contract like the period of a contract and rent, and the background in which abandonment stipulation of the purchase claim right is concluded, etc.
This paper examined not only various factors to consider concretely in judging whether abandonment stipulation of the right to demand for the ground facilities purchase made goes virtually disadvantageous to the land lessee or not, but also whether both termination of mutual agreement and abandonment stipulation of the right to demand for the ground facilities purchase made at the same time, and exercising the purchase claim right after abandonment stipulation of the right to demand for the ground facilities purchase go against Treu und Glauben or not.
