초록

비트코인은 중앙권력에 대한 불신으로부터 태어났고, 공동합의(consensus)에 의한 지배를 갈구하면서 자라났다. 최초로 대중화된 블록체인 비트코인은 단순한 가상자산으로서 결제수단으로서의 기능만 가지고 있었으나, 차세대 블록체인 이더리움은 스마트계약을 장착하여 과거 거래뿐만 아니라 장래 거래의 예정사항도 기록할 수 있게 되었고, 복잡한 지배구조도 구현할 수 있게 되었다. 그리하여 2016년 이더리움을 활용하여 이제까지의 전통적인 형태의 조직과는 전혀 다른 모습으로 탄생한 것이 바로 DAO이다. 탈중앙화 자율조직(Decentralized Autonomous Organization), 즉 DAO는 중앙기관을 따로 두지 않고 스마트계약과 블록체인 기술을 이용하여 자율적으로 운영되는 분산형 네트워크상의 조직이다. 이러한 DAO는 분권화와 자율성이라는 독특한 조합을 통해 기존 조직에 혁명을 일으킬 수 있는 잠재력을 보여주며, 더 투명하고, 더 공정하며, 더 민주적인 미래의 조직상을 시사해 준다.
DAO라는 조직이 우리의 기업 시스템에 긍정적인 영향을 미치고, 국가경제와 산업발전 측면에서 중요한 의미를 지닌다면, 이를 적법하게 설립하고 운영할 수 있는 길을 만드는 것이 국가의 의무라고 할 수 있다. DAO가 갖는 공동합의에 기한 민주적 지배구조, 사적자치와 자율성 확보, 대리인 문제의 해결 가능성, 그리고 자금조달수단으로서의 뛰어난 효용 등을 고려하면, 국민경제의 성장과 기업시스템의 발전을 위하여 DAO를 위한 법제화할 필요성을 충분히 인정할 수 있다. 비교법적으로 보더라도 미국의 여러 주법에서는 이미 DAO를 기존의 LLC 법제에 편입시키고 있으며, 블록체인 전문가 커뮤니티 등에서도 DAO 모델법을 마련하는 등 활발한 활동을 전개하고 있다. 이러한 점에서 우리도 DAO를 정식의 회사법제에 포함시켜 DAO의 기술적 우수성과 탈중앙화 이념을 최대한 구현할 필요가 있다. 이를 위해서는 DAO의 강점을 잘 반영하고 그 한계를 극복할 수 있도록, 독립된 단행법 형태로 입법을 하고 DAO의 법인성과 그 구성원의 유한책임을 반드시 인정해야 한다. 그리고 기술실패의 문제나 합리적인 과세체계, 적정한 규제 수준도 함께 고민해 보아야 한다. 그러나 한편으로는 기술 수준 등 현실적인 한계도 고려하여 기술적 요소와 인적 요소를 아우르는 하이브리드 지배구조도 검토할 필요가 있다.
앞으로 디지털 경제가 발전해 나갈수록 분산형 지배구조의 원리는 더욱 중요한 지위를 차지하게 될 것이다. DAO는 미래형 지배구조를 예시(豫示)해 주는 것으로서, 권한을 분산시키고, 투명성을 극대화하며, 모든 참여자들이 목소리를 낼 수 있는 지배구조를 제시한다. 따라서 우리가 이러한 지배원리를 정립하고 수용할 태세를 갖춘다면, 새로운 디지털 경제 시대의 최첨단에서, DAO의 신속성과 포용성, 그리고 세계를 변화시킬 수 있는 역동적인 힘을 우리 자신의 것으로 만들 수 있을 것이라 기대한다.

영어초록

Bitcoin was born from distrust of central power and grew out of a desire for rule by consensus. Bitcoin, the first popular blockchain, was a simple virtual asset and had only the function of a payment method, but the next-generation blockchain, Ethereum, was equipped with a smart contract, making it possible to record not only past transactions but also future transactions, and its complex governance structure. Thus, in 2016, the first decentralized autonomous organization (DAO) was launched on Ethereum, and DAO was created as an organization different from the traditional organization. Decentralized Autonomous Organization, or DAO, is an organization on a distributed network that operates autonomously using smart contracts and blockchain technology without a separate central authority. DAOs demonstrate the potential to revolutionize existing organizations through their unique combination of decentralization and autonomy, signaling a more transparent, fairer, and more democratic future for organizations.
If an organization called DAO has a positive impact on our corporate system and is important in terms of national economy and industrial development, it can be said that it is the governmentʼs duty to create a way to legally establish and operate it. Considering DAOʼs democratic governance structure based on joint agreement, securing private autonomy and autonomy, solving agency problems, and excellent utility as a means of raising funds, it is necessary to legislate DAO for the growth of the national economy and the development of the corporate system. The necessity can be acknowledged from a comparative legal perspective, many state laws in the United States have already incorporated DAO into the existing LLC legal system, and COALA, an international expert community on blockchain, announced a DAO model law with very specific details. In this regard, we also need to include DAO in the formal legal system and implement DAO's technological excellence and decentralized ideology as much as possible. To achieve this, an independent legislative plan (single law) must be prepared to reflect the strengths of the DAO and overcome its limitations, and recognize the legal entity of the DAO and the limited liability of its members. In addition, issues of technological failure and reasonable taxation systems and regulatory levels must be considered. However, on the other hand, considering realistic limitations, there is a need to acknowledge the limits of autonomy to some extent and review a hybrid governance structure that encompasses technical and human factors.
As the digital economy develops in the future, the principle of decentralized governance will become more important. DAO is an example of a future governance structure that decentralizes authority, maximizes transparency, and presents a governance structure in which all participants can voice their voices. If we are prepared to establish and embrace these governing principles, we will be able to make the speed and inclusiveness of DAOs and their dynamic power to change the world our own at the cutting edge of the new digital economy.
