글로벌 금융위기 이후의 미국의 금융기관정리제도의 개편이 한국에 주는 정책점 시사점 (Reform of Special Resolution Regimes for Financial Institutions in US after Global Financial Crisis)

초록

본 논문은 금융위기 이후 재편된 미국 부실 금융기관정리제도의 전반에 대한 이해를 돕고, 각 정리제도의 주된 차이점, 문제점, 그리고 개선방향을 검토하여 한국의 정리제도의 올바른 개선방향을 제시하고자 하는 목적으로 작성되었다. 또한, 글로벌 금융 위기 이후에 새롭게 부상하고 있는 정리제도를 둘러싼 논의들이, 조율되고 조정되는 과정을 연구하여, 국내 금융의 안정과 발전을 도모함과 동시에 금융 분야에 있어서의 국제적 신인도와 경쟁력을 강화시키는데 도움을 주고자 하였다.
제 I장은 금융기관을 위한 특별한 정리제도에 관한 일반적인 고찰로써, 금융기관을 위한 특별한 정리제도가 필요한 이유와 정리제도가 가지는 일반적 성격, 국경 간 공조의 일반적 필요성 등을 살펴본다.
제 II장은 파산법 (Bankruptcy Code), 연방예금보험법 (the Federal Deposit Insurance Act, (the “FDIA”)), 그리고 도드-프랑크법 Title II (강제청산제도, the Orderly Liquidation Authorities (”OLA”)) 등 금융기관을 위한 미국의 정리제도들을 소개한다. 이 장은 미국의 각 정리제도를 정리 대상, 목적, 그리고 정리 당국을 중심으로 비교하고 실패 금융기관에 대한 단계에 따른 정리 절차 중 핵심 사항에 대한 설명을 추가하였다.
제 III장은 최근 글로벌 금융위기 동안 (2007-2009) 새롭게 파악되거나 재확인된 문제점들과 금융 안정성을 보장하고, 시스템 리스크를 방지하고, 또한 공적자금의 이용을 최소화 하는데 기여할 수 있는 새로운 정리 수단에 대하여 논의할 것이다. 특히, 바젤은행감독위원회(the Basel Committee on Banking Supervision (the “BCBS”)) 및 금융안정위원회 (the Financial Stability Board (the “FSB”))가 제시한 손실흡수수단과 정리 및 회생 계획을 포함한 개선안을 소개하고, 이러한 방안의 한국과 미국에서의 도입과 관련하여 발생될 수 있는 법적 쟁점들이 논의될 것이다.
제 IV장은 결론이다.

Generally, the special acts which cover the resolution and rehabilitation process can be applied to when the financial standings does not reach the certain standard not only to the emergency situations like insolvency.
In United States, bank failures are different from other types of bankruptcies. While the provisions of Federal Bankruptcy Code govern the insolvency of individuals and most business entities, insolvency of bank is regulated under the provisions of the Federal Deposit Insurance Act. The FDIC, utilizing administrative process, administers bank Insolvencies.
In the context of resolution of failed banks, authorities have to decide whether or not to follow the modified bankruptcy process for general corporations or the special insolvency regime designed only for banks. Some countries apply the bankruptcy frameworks of general corporations to failed banks in the same manner that they would do to non-financial institutions, most of which are to some extent properly modified for banks. These special provisions are established in order set up the process to impose administrative authorities, provide special management tools for financial contracts, unpaid security transactions, and financial collaterals, and regulate the operations of deposit insurance regime, which includes the creation of the right of subrogation for deposit insurance agency to the depositors over the amount paid to them. Other countries however have a special resolution regime for insolvent banks. By adopting the resolution regime for failed banks rather than the bankruptcy regime for nonbank firms, the resolution regime facilitates prompt actions for failed banks and provides consistency between both the supervision of and insolvency-related measures of banking authorities. While no evidence has proven the superiority of either framework, during and after the recent financial crisis of 2008, many countries have adopted or considered to introduce the special insolvency regime for banks.
