초록

중재합의는 중재개시를 위한 필수조건이다. 한 국가의 사법제도를 배척하고 당사자 간에 합의한 절차에 따라 분쟁을 해결하고 그 결과에 복종하는 제도인 중재에서 가장 중요한 것은 중재를 하겠다는 당사자들의 의지이다. 이러한 당사자들의 의지와 합의가 명시적으로 표현이 된 경우라면 중재합의의 유효성 판단에 어려움이 없겠지만 중재합의의 효력이 실질적으로 합의를 한 당사자가 아닌 제3자에게까지 미치는지에 대한 판단이 필요한 경우에는 그 판단 결과가 확정적이지 않을 수 있다. 이에 본 논문은 제3자에 대한 중재합의의 효력에 대해 연구를 하되 그 범위를 좁혀 여러 가지 형태의 국제상거래에서 체결되는 보험계약의 보험자와 피보험자가 피해보상과 관련된 분쟁의 당사자가 되었을 경우에 보험계약이 아닌 다른 계약에 포함되어 있는 중재합의에 구속되는지에 대해 알아보고자 한다.

영어초록

A valid arbitration agreement is a prerequisite condition for commencement of arbitration. The parties’ intent to do arbitration is more important than anything because arbitration is one of alternative dispute resolution systems which deny the national judicial system and settle a dispute by following the procedures agreed between them. Moreover, once the arbitral award is rendered, the parties are bound to it without a chance to be reviewed by a court.
In a case where the parties’ intent is clear and explicit, there is no difficulty in deciding on existence and validity of arbitration agreement. However, in a case where determination on whether an arbitration agreement has an effect on non-parties who do not actually agree to arbitrate is necessary, the result may not be definite. As international business gets complicated, the latter cases often happen. For sales of goods, either seller or buyer makes a contract for carriage and insurance for the goods. If the goods are damaged during the transit, the insurer will indemnify the insured for damage and be handed over subrogation right. With subrogation right, the insurer will make a claim for damage against the carrier. Here, if there is an arbitration agreement between the carrier and the insured who hands over the subrogation right to the insurer, the issue is whether the arbitration agreement has an effect on the insurer who is not a party to the arbitration agreement. So, by analysing several cases from different jurisdictions, this paper will study whether the effect of an arbitration agreement can be extended to the third person who exercises subrogation right in insurance.
