협동조합의 조직변경에 관한 일고찰 - 협동조합기본법을 중심으로 - (A legal study of Organization Form Transformation of Cooperatives - A study of Framework Act on Cooperatives -)

초록

2012년 12월 협동조합기본법이 시행되며 종래 농업협동조합법 등 8개의 개별법에 의해 주로 산업정책적인 목적 등에 따라 제한적으로 허용되던 협동조합의 설립이 일반대중의 사업조직의 양식으로 우리 사회에 자리매김해 가고 있다. 2015년 11월 현재 협동조합기본법 시행 약 2년 11개월 여 만에 협동조합의 설립은 8,000여 개에 이르고 있어 한국사회의 높은 관심을 짐작할 수 있는데, 협동조합의 설립은 새로운 협동조합의 창설로서 신규설립과 기존 다른 형태의 조직이 협동조합으로 조직형태를 변경하는 이른바 전환설립이 함께 이루어지고 있다.
협동조합기본법은 우리 법제에 새로운 법인격을 도입하였다는 점에서 법 시행 당시 부칙에 경과적 규정을 두어 협동조합과 유사한 목적으로 운영되던 조직이 협동조합기본법에 따른 협동조합으로 전환할 수 있도록 하였다. 그리고 이 규정이 한시적 규정이며 기존 협동조합과 유사한 목적으로 운영되던 조직에 한해 인정된다는 점에서 다양한 조직들의 상시적인 협동조합으로의 전환 수요에 대응할 수 있도록 하기 위해 2014년 1월 상시적 조직변경제도를 본칙에 신설하였다.
그런데 협동조합기본법상 조직변경제도는 도입 목적의 긍정적인 면에도 불구하고, 협동조합의 특질과 현상에 부합하지 않는 측면이 있다고 보인다. 즉 본칙상의 상시적 조직변경제도는 협동조합을 영리법인으로 전제하고 있고, 인적 구성체로서의 특질을 도외시하고 있으며, 다른 조직체들이 협동조합으로 조직변경하는 실제적 필요와 현상을 면밀히 분석하지 않은 상태에서의 피상적 접근을 하여 협동조합의 본질과 현상에 대한 충실한 입법이 되지 못하고 있다. 이는 협동조합으로 조직변경할 수 있는 조직체를 개방적으로 확대하고, 결의요건을 협동조합으로의 조직변경의 현상에 기초한 입법정책적 검토를 통해 완화하는 취지의 개선이 필요할 것으로 판단한다. 또한 부칙상의 조직변경제도는 경과규정의 제도적 취지에 부합하도록 해석상 또는 입법상 재검토가 필요할 것으로 판단한다.

영어초록

Before the enactment of Framework Act on Cooperatives in December 2012, the establishment of cooperatives had been restrictively allowed under 8 individual laws, including the Agricultural Cooperatives Act, depending on whether the intended cooperative conformed to the then-current industrial policy. However, the Framework Act made it easier for the general public to establish the cooperatives for general business purposes and establishing cooperatives is becoming a general trend. As of November 2015, some 8,000 cooperatives have been established in approximately 2 years and 11 months, since the enactment of the Framework Act, which shows how strongly the Korean society was interested in the cooperatives. The Korean cooperatives are being established by the new establishment and by the converted establishment (where an organization converts its form into that of a cooperative).
The Framework Act, in introducing a new corporate personality in Korean laws, provides for interim measures, so that the organizations operating for the purpose similar to that of the cooperative can convert themselves into the cooperatives under the Framework Act. Also, this temporary interim measures had been reinforced by adding new provision on to the Framework Act in January 2014, to allow various organizations to convert into the cooperatives at any time.
However, such conversion by organizations prescribed in the Framework Act fails to accord with the peculiarity and status quo of cooperative, although its intention was positive. The applicable provision assumes that the cooperatives are for-profit organizations and ignores their peculiarity as an organization made up of persons. The provision fails to fully reflect the essence and status quo of the cooperative, because it superficially approaches the question of why other organizations opt to convert themselves into the cooperatives without thoroughly analyzing the actual need and status quo therefore.
The provision should be improved by increasing the scope of organization that can convert themselves into cooperatives; and easing the requirements for resolution by a review from a perspective of legislative policy based on the status quo of organizational conversion into cooperative. Also, the organizational conversation in supplementary provisions should be reviewed in terms of interpretation or legislation, so that they will satisfy the systemic intentions of interim measures.
