초록

일본 개정민법상 조합 부분은 기존에 민법 규정과 해석론으로 정립된 조합에 관한 기본적 이해를 전제로, 일반적 해석론 중 다툼이 없거나 매우 적은 내용을 명문화한 것이다.
민법총칙, 계약총론 규정과 관련해서 조합의 특수성을 명문화했는데, 조합의 본질을계약으로 보는 전제, 즉 민법총칙이나 계약총론의 규율 가능성을 바탕으로 하면서, 조합의 특수성을 근거로 적용이 배제되는 영역을 명시하였다. 기존에도 단체성을 바탕으로한 개별 규정이 있었지만, 이 규정들은 예외를 명확히 한 것이라고 보아야 한다.
또한 조합의 내부 운영과 관련해서 결정과 집행을 나누고, 대외적인 법률행위에 관하여는 대리에 관한 내용을 명확히 하여 조직의 운영 및 유지에 관하여도 정비하였다.
조합의 재산에 있어서는 조합의 단체성을 바탕으로 하여 조합재산의 독립성을 규정하면서, 통상의 공유와 다른 특수성과 법인격을 가지지 못하는 한계를 모두 분명히 하였다.
이러한 접근은 비법인사단과 조합의 구별, 법인과 조합의 구별을 전제로 하므로, 기존 조합상에서 벗어나지 않으려는 시도를 보여준다.
이와 같이 개별적인 규정들에서 단체성이 전제되어 있는 경우를 많이 확인할 수 있지만, 구체적인 상황에서 조합의 단체성이 과도하게 관철되는 것을 피하고자 한 노력들이상당히 보인다. 즉, 개정내용이 조합의 계약성이라는 본질을 곡해하지 않도록 조절한 것으로 평가된다.
우리 민법의 해석론과 입법론에 있어 일본 개정 민법상 조합의 내용은 하나의 선택지로서 가능성을 제시하고 있다.

영어초록

The association part of Japanese revised Civil Code stipulates general or majority interpretation theory on the premise of basic understanding of the association established by Civil Code regulations and interpretation theory so far.
The revised Code stipulated the distinctiveness of the association in relation to the general rules of the Civil Code and the general rules of the Contract, which is based on the premise of seeing the nature of the association as a contract, that is, the application of the general rules and specified areas where application was excluded based on the specificity of the association. Previously, there were individual regulations based on collective character, but these regulations should be regarded as clarifying exceptions.
In addition, decision and enforcement were divided in relation to the internal operation of the association, and the contents of the deputy were clarified for external legal actions to reorganize the operation and maintenance of the association. With regard to the property, the independence of the association property was defined based on the association's collective character, and all the limitations of having a specificity and not having legal personality different from ordinary sharing were clarified.
This approach presupposes the distinction between an unincorporated organization and an association and the distinction between a corporations and an association, showing an attempt not to deviate from the existing association system. As such, it can be seen that there are many cases where the collective character is premised in individual regulations, but there are considerable efforts to avoid excessive collectivity in specific circumstances. In other words, it is evaluated that the revised contents have been adjusted so that the contractuality of the association is not misunderstood.
In the interpretation and legislative theory of Korean Civil Code, the contents of the association under the Japanese revised Civil Code can be an option.
