UNCITRAL 소규모기업의 상업등기와 단순화된 기업조직 관련 논의와 쟁점 (UNCITRAL legal issues related to simple and effective system of registration and for a range of simplified and flexible legal forms for MSME)

초록

유엔 국제상거래법 위원회(UNCITRAL) Working Group I(제1분과위원회)은 Micro, Small and Medium-sized Enterprises(MSMEs)에 관한 사항을 논의하는 분과위원회로 2014년부터 현재까지 운영되고 있으며, 제1분과위원회의 중요 논의사항은 소규모기업의 성장을 위하여 단순하고 효과적인 등기시스템과 법적으로 단순화되고 유연한 기업조직형태를 제공하는 것이다.
제1분과위원회 2018년 3월 제30차 회의에서는 “상업등기 입법지침안(Draft legislative guide on key principles of a business registry)”의 최종합의가 이루어졌는데, 여기서 상업등기에는 영업활동을 위한 상업등기 외에 조세 및 사회보장을 위한 등록이 포함되는 개념으로 접근하였으며, 방법적으로는 제도권 내 경제에 소규모기업이 진입하는 것을 용이하게 하려는 국가가 상업등기기관을 통하여 소규모기업이 상업등기를 할 때 갖게 되는 부담을 경감하도록 설계하고 있다.
상업등기에 있어서 보다 소규모기업의 어려움을 고려한 사용자 중심적인 시스템을 구축하고자 한 사항이나 한 번의 등기절차를 통해 여러 공공기관에 대한 등록절차를 동시에 처리하도록 한 점 등은 UNCITRAL에서 소규모기업이 제도권 경제 내에서 운영을 할 수 있도록 하는 점에 중점을 두고 추진하고 있다는 것을 알 수 있게 해 준다.
한편, 단순화된 기업조직에 대해서는 2016년 10월 제27차 회의에서 “UNCITRAL 유한책임조직에 관한 입법지침안(Draft Legislative Guide on an UNCITRAL Limited Liability Organization)”이 제시되었으나 이에 대한 최종합의는 2018년 10월 현재까지 이루어지지 않았다. 다만, 2014년 제22차 회의에서 제1분과위원회는 단순화된 기업조직을 취하는 여러 국가의 체제를 검토하면서 ① 기업의 유한책임과 설립 관련 부분(법인격, 재무제표의 공개, 설립 요건, 설립자 수 등), ② 내부지배구조(지분소유자의 권한, 계약의 자유, 지분의 양도성), ③ 신의성실의무의 관점을 중심으로 비교하였으며, 단순화된 기업설립 및 상업등기 시스템이 영세기업이나 소규모기업의 설립과 등기를 증가시키는데 상당한 영향을 주었다는 점에 합의하였다.
이러한 이유로 ‘UNLLO 입법지침안’이 제시된 것이고, 이 입법지침의 목적은 소기업우선주의를 고려하여 소규모기업 등 폐쇄회사를 위해 유연한 형태의 기업이 설립되는 것을 돕기 위한 것이라고 밝히고 있다.
따라서 UNLLO 내부 지배구조 형식에 대해서는 원칙적으로 계약에 따라 자유롭게 구성할 수 있으며, 구성원의 합의를 통해 상장회사에 대해 전통적으로 요구되어 온 규제에 대한 예외(우회규정 마련)를 둘 수 있도록 하였다.
UNCITRAL 제1분과위원회의 논의는 우리나라에서는 이미 법제화 된 사항이므로 큰 시사점을 찾는 것에는 한계가 있지만, 여기에서는 UNCITRAL을 통한 글로벌 논의 동향을 파악하고 각 국의 사정을 고려한 통일된 시스템을 갖춘다는 것이 사실상 많은 어려움을 수반한다는 점을 이해하는데 의의가 있다 할 것이다.

영어초록

United Nations Commission on International Trade Law (“UNCITRAL") Working Group I, a sub-commission which focuses on micro, small and medium- sized enterprises ("MSME"s), has been operating since 2014 to the present.
Working Group I suggested providing for a simple and effective system of registration and for a range of simplified and flexible legal forms for businesses as important goals for States in assisting the growth of MSMEs.
In the 30th Session which took place in March 2018, a Draft legislative guide on key principles of a business registry was prepared.
The advantages of business registry include transparency of business, sharing of information for government tax and regulation purposes, and access to government- facilitated financial assistance.
Based on these advantages, Working Group I tried to distil good practices whose features are shared among the best performing economies for simple, efficient, and low-cost operation of business registry in order to come up with the Draft legislative guide on key principles of a business registry, consisting of ten sections and 54 recommendations.
In this text, the term business registry refers not only to those for commercial activities but also to those for tax and social security purposes. Methodically, it is aims to decrease the burden which an MSME bears in the process of business registration through evaluation of business registrar by the State which aims to assist MSMEs' access to formal economy.
Meanwhile, with regard to simplified business entity, a Draft model law on a simplified business entity was drawn at the 24th session in April 2015, and a Draft Legislative Guide on an UNCITRAL Limited Liability Organization (“Draft Legislative Guide on UNLLO) was drawn at the 27th session in October 2016; however, final conclusion has not yet been reached as of October 2018.
At the 22nd session held in 2014, while reviewing simplified incorporation regimes of various States, Working Group I conducted a comparative analysis with focus on (1) limited liability and formation (legal personality, disclosure of financial statements, requirements for formation, and number of founders, etc.), (2) internal governance (financial rights, freedom of contract, and transferable interest, etc.), and (3) fiduciary duties. It reached a conclusion that simplified formation and registration system greatly influences increase of formation and registration of MSMEs.
For such a reason, a Draft Legislative Guide on UNLLO (consisting of 11 sections and 26 recommendations) was drafted with the purpose of assisting establishment of business entities with flexible forms for privately held businesses such as MSMEs (termed as “UNLLO" in the Draft) by “thinking small first".
Therefore, internal governance of an UNLLO may be structured freely in principle in recognition of freedom of contract, and may be allowed to make exceptions through agreement among members to regulations traditionally enforced against listed companies.
Because the discussions of Working Group I has already been adopted into legislation in Korea, there is not many new lessons to learn. However, it would be meaningful to understand the global trend with respect to MSMEs and to realize the difficulty of adopting a unified system that aligns various regimes.
