영국의 집합투자업에 관한 규제 (Regulation on Collective Investment Business of the United Kingdom)

초록

영국은 2008년의 금융위기 이전에는 2000년 금융서비스․시장법(Financial Services and Market Act 2000: FSMA)에 의거하여 금융감독기구(Financial Services Authority: FSA)가 은행․증권․집합투자업(collective investment business) 및 보험업(insurance business) 등에 대한 통합적인 규제․감독을 하여 왔다. 그러나 금융위기 이후에는 영란은행(Bank of England) 내부에 금융안정정책위원회(Financial Policy Committee: FPC)를 신설하여 거시건전성을 감독하도록 하고 있고, 영업행위감독청(Financial Conduct Authority: FCA)과 건전성감독청(Prudential Regulation Authority: PRA)이 종래의 금융감독기구의 기능을 대신하고 있다. 집합투자업에 관하여는 영업행위감독청이 규제․감독을 하고 있다. 그리고 현재 영국에서 집합투자기구(collective investment scheme: CIS)에 관한 법적 정의는 2012년에 개정된 금융서비스․시장법 제235조 제1항에 정의되어 있다.
이 글에서는 영국의 집합투자업에 관한 규제내용을 살펴보았다. 우선적으로는 집합투자기구의 개념과 유형에 관한 규제에 대하여 살펴본다. 그리고 집합투자업에 관한 감독체계의 변천과 그에 따른 규제의 내용에 관하여 기술하였다. 여기에서는 1986년 금융서비스법(Financial Services Act 1986), 2000년 금융서비스시장법(FSMA) 및 2012년 금융서비스법(Financial Services Act 2012)상 주요 규제내용에 관하여 약술하였다. 그 위에 영국의 영업행위감독청의 규정집(FCA Handbook)과 대체투자펀드운용자규정(The Alternative Investment Fund Managers Regulations 2013: AIFMR)을 포함한 현행 법령상 집합투자업의 규제내용에 관하여 전반적으로 분석하였다. 주된 내용에는 행위규제의 원칙, 인가․등록, 대체투자펀드업자 및 자본규제 등이 포함되었다. 또한 집합투자업자의 권유규제에 대하여 기술하였다.
마지막으로는 영국에서의 규제내용을 우리나라의 자본시장법제(Financial Investment Services and Capital Markets Act)와 비교․분석하였다.

영어초록

In the UK before the 2008 financial crisis, banks, securities companies, collective investment businesses, and insurance businesses were all subject to integrative regulation by the Financial Services Authority (FSA) in accordance with the Financial Services and Market Act 2000 (FSMA). However, after the financial crisis, the Financial Policy Committee (FPC) was newly established within the Bank of England to provide macro-prudential regulation, and the Financial Conduct Authority (FCA) and the Prudential Regulation Authority (PRA) replaced the functions of the existing financial supervisory body. The collective investment business is regulated and supervised by the FCA. Also a collective investment scheme (CIS) in the UK is defined in accordance with Section 235(1) of the revised FSMA.
This article examines the regulatory framework for collective investments in the UK.
First, the concept and type of regulation for collective investment schemes is examined.
Also changes in the regulatory system and the contents of the regulations for collective investment business are described. A summary is provided of the main, related regulations under the Financial Services Act 1986, the Financial Services and Market Act 2000, and the Financial Services Act 2012. In addition, there is an overall analysis of the regulation of collective investment business under the current laws and regulations including the FCA Handbook and the Alternative Investment Fund Managers Regulations 2013 (AIFMR).
Also included are the main contents for the principles of conduct regulation, accreditation and registration, alternative investment fund providers, and capital regulation. In addition recommended regulations for collective investment business are described. Finally, regulation in the UK is analyzed in comparison with the Financial Investment Services and Capital Markets Act of Korea.
