2016년 이후 다중대표소송에 관한 의원발의안의 비교 -실효성 분석을 중심으로- (Comparison of lawmaker propositions on multiple derivative action since 2016-Focusing on effectiveness analysis-)

초록

그동안 기업집단 내의 비상장 계열사들이 총수 일가의 부를 증식하거나 지배권을 확대하는 수단으로 악용되고 있다는 비판이 끊임없이 제기되면서 이에 따른 대책으로서 논의되어 온 것이 다중대표소송의 도입이다. 이와 관련하여 많은 입법안들이 국회에 제출된 바 있는데, 본 논문에서는 이 중 2016년 이후 최근까지 국회에 제출된 총 7건의 의원 발의안 중에서 쟁점사항에 해당하는 인정범위, 제소자격 및 종속회사 회계장부열람권의 행사 지주요건에 대하여 그 실효성 여부를 중심으로 비교하여 살펴보았다. 다중대표소송의 인정범위에 관해서는 노회찬 의원 대표발의안에 따른 지배·종속회사의 범위를 더욱 확대시켜 기업집단 내에 내부지분율이 50%를 초과하는 비상장 계열사의 주식을 소유하고 있는 상장계열사가 있으면 그 상장계열사의 주주에게 소유지분의 다과와는 상관없이 다중대표소송을 인정하는 것이 타당하다고 본다. 그리고 제소자격에 관해서 노회찬의원의 대표발의안과 같이 단독주주권을 인정하는 것이 맞다고 본다. 마지막으로 종속회사의 회계장부열람권을 행사하기 위한 지주요건으로는 노회찬 의원 대표발의안과 같이 다중대표소송을 제기한 지배회사의 주주(단독주주 포함)에게 종속회사의 회계장부열람권을 행사할 수 있도록 하되, 다만 다중대표소송을 제기하지 않고 지배회사의 주주가 종속회사의 회계장부열람권을 행사하기 위해서는 상법상 상장회사의 회계장부열람권 행사를 위한 지주요건을 참고하여(상 제542조의6 제4항) 1만분의 10으로 정하는 것이 타당하다고 본다.

영어초록

There have been incessant criticisms that non-listed affiliates within corporate groups have become a means to increase the wealth inappropriately or expand control of conglomerate families. This phenomenon gave rise to discussions on introducing multiple derivative actions as a potential solution. Multiple derivative actions refer to legal actions that the shareholder of a parent company within a corporate group can take against the directors etc. of a subsidiary to obtain compensation for damages.
Key issues pertinent to the introduction of multiple derivative actions are as follows. First, the extent of recognition of the parent company’s equity ratio needs to be determined. Second, the equity ratio of the parent company’s shareholder to define the right to sue needs to be decided. Third, whether or not to acknowledge the inspection right to the subsidiary company’s account records, and if it can be acknowledged, the extent of the parent company’s shareholder equity ratio.
This paper focuses on the effectiveness analysis of the aforementioned key issues that can be found in seven propositions by lawmakers, submitted to the National Assembly since 2016.
In conclusion, the following are the findings of the analysis. First, non-listed affiliates within large corporate groups should all be subject to multiple derivate actions, except for those affiliates directly owned by conglomerate families. The scope of a parent company and its subsidiaries should further be expanded; so that if an affiliate owns even a single share of a non-listed affiliate within such corporate group, shareholders of that affiliate should rightly be able to take multiple derivative actions. Second, multiple derivative action, unlike other minority shareholders’ rights, is a significant regime to protect the rights of the parent company and its shareholders against mismanagement of its subsidiary’s management. Therefore, as far as the right to sue for multiple derivative actions is concerned, it is deemed appropriate that independent shareholder’s right is acknowledged. Third, in the limited case where multiple derivative action has been taken, it is deemed appropriate for the independent shareholder of the parent company to exercise inspection rights to the subsidiary’s account records.
