법인에 관한 민법 개정안의 검토 (A Study on the Reform of Korean Civil Code for non-profit corporation)

초록

민법 제1편 제3장 법인에 관한 규정은 변화하는 시대에 부응하지 못하고 있다. 민법이 시행된 이래 우리 사회를 구성하는 비영리법인의 규모는 양적으로나 질적으로나 모두 성장하였지만, 이들을 규율하는 민법의 규정은 여전히 과거에 머물러 있다. 2004년 법인 분야의 개정을 포함하는 민법중개정법률안이 국회에 제출된 이후에 2010년과 2014년에도 각각 우리 법인법의 개혁을 위한 입법적 노력이 전개됐다. 그러나 국회 회기 만료로 번번이 좌절되고 말았다. 2022년 우리 시민들의 사회생활 규범인 민법을 개선하기 위한 움직임들이 다시 시작되었고, 법인법 분야도 여기에 포함되어 있다. 법인에 관한 민법 개정안의 지난 연구성과를 되돌아보고, 좀 더 발전된 대안들을 모색해 보고자 이번 연구가 진행되었다. 이 논문에서는 현행법상 비영리법인 설립에서 허가주의의 태도를 극복하기 위한 대안으로서 인가주의 외에도 준칙주의에 따른 법인설립 모델을 상정해 보기도 하였으며, 출연재산의 귀속시기에 관한 이제까지의 개정안을 비판적으로 검토하고 개인적인 해석론을 바탕으로 새로운 법안을 마련해 보았다. 그리고 법인 아닌 사단과 재단에 대한 입법안으로 먼저 법인 아닌 재단을 신설 대상에서 제외하고 법인 아닌 사단을 영리와 비영리로 준별하여, 전자의 경우는 사단법인에 관한 규정을 후자의 경우는 조합의 규정을 준용하는 방안을 제안하였다. 어디까지나 주관적인 의견을 토대로 작성된 방안으로서 여러 가지 부족함이 발견될 수 있겠지만, 법인법 분야의 개정논의를 좀 더 활발하고 풍부하게 만드는데 조금이나마 기여할 수 있다면 매우 다행스러울 것이다.

영어초록

The regulations of corporations in Chapter 3, Part 1 of the Civil Code on corporations failed to meet the changing times and were backward. Since the civil law was enforced, the size of non-profit corporations that make up our society has grown both quantitatively and qualitatively, but the civil law regulations governing them still remain in the past. After the revision of the Civil Code, including the revision of the corporate sector, was submitted to the National Assembly in 2004, legislative efforts were made to reform the Korean corporate law in 2010 and 2014, respectively. However, it was repeatedly frustrated by the expiration of the parliamentary session. In 2022, movements to improve the civil law, the norms of social life for our citizens, began again, and the field of corporate law is included here. This study was conducted with the aim of looking back on the research results related to the amendment to the Civil Code on corporations and seeking more advanced alternatives. In this paper, as an alternative to overcoming the attitude of permissionism in establishing a non-profit corporation under the current law, we assumed a possible corporate establishment model based on ruleism in addition to authoritarianism. Regarding the transfer of donated property, we critically reviewed the amendments so far and prepared alternative bills based on the new interpretation theory. In addition, as a legislative measure for non-corporate divisions and foundations, non-corporate foundations were first excluded from the law. The non-corporate division was divided into profit and non-profit, and in the former case, the provisions on the corporation were proposed, and in the latter case, the provisions of the union were applied mutatis mutandis. As a method written based on subjective opinions, several shortcomings may be found, but it would be very fortunate if it could contribute even a little to make the revision discussion in the field of corporate law more active and abundant.
