기업승계 활성화를 위한 가업상속공제제도 개선방안 연구 (A Study on the Improvement of the Family Business Inheritance Deduction System for the Activation of Corporate Succession)

초록

본 연구는 중소․중견기업의 원활한 기업승계 지원을 위하여 한국과 일본의 기업승계 지원제도를 비교 분석한 후, 우리나라의 가업상속공제제도에 대한 정책적 개선방안을 제시하는데 그 목적이 있다.
주요 연구결과를 요약하면 다음과 같다.
첫째, 우리나라의 상속세 세율을 OECD 회원국 평균(26.5%) 수준으로 최고세율을 대폭 인하하고, 과표구간도 상속재산 가액 규모별 신고인원이 가장 많은 구간으로 확대할 필요가 있다. 둘째, 상속세 과세방식을 유산세에서 유산취득세 방식으로 변경하고, 상속세의 연대납부의무도 폐지하는 방안을 적극 검토할 필요가 있다. 셋째, 더 과감하게 상속세를 자본이득세로 전환하는 방안을 검토할 필요가 있다. 넷째, 특히 기업승계 활성화를 위하여 후계자의 친족 간 요건을 폐지하고 일본처럼 M&A를 통한 사업승계를 포함한 사업승계 지원제도를 정착시킴으로써 임직원뿐만 아니라 일반인 또는 법인도 사업을 승계받을 수 있도록 하는 제도적 개선 조치가 필요하다. 다섯째, 가업상속공제제도의 신속한 개선이 어려울 경우에는 중소기업의 기업승계 활성화를 위해서는 우선 ‘사업용 자산’에 한해서라도 상속세 완화를 검토할 필요가 있다.
중소기업의 안정적인 기업승계는 사회적으로 매우 중요한 의미를 담고 있다. 경제적으로는 기업의 지속 성장을 이어가는 것이며, 사회적으로는 고용 및 안정적인 사회를 구축하는데 중요한 역할을 한다. 따라서 국가 간 조세 경쟁력 확보 및 기업 경쟁력 강화라는 측면에서 우리나라는 부분적인 가업상속 공제제도의 보완뿐만 아니라, 장기적으로 상속세제의 근본적인 개편을 추진하는 방안을 추진할 필요가 있다.

영어초록

This study aims to propose policy improvements for Korea’s business succession tax deduction system by conducting a comparative analysis of business succession support systems in Korea and Japan. The primary objective is to facilitate smooth business succession for small and medium-sized enterprises (SMEs) and mid-sized companies.
The key findings of this study are summarized as follows: First, Korea's inheritance tax rate should be significantly reduced to align with the OECD member countries' average of 26.5%. Additionally, the taxable income brackets should be expanded to include the segment with the highest number of inheritance declarations based on asset size. Second, it is necessary to actively consider changing the inheritance tax system to a heir-based acquisition tax method rather than the estate-based taxation method, as well as abolishing the joint liability for inheritance tax payment. Third, a more aggressive approach should be taken to transition from an inheritance tax to a capital gains tax system. Fourth, to promote business succession, the family relation requirement for successors should be abolished. Similar to Japan, Korea should institutionalize a business succession support system that includes mergers and acquisitions (M&A) as a viable succession method. This would allow not only employees but also external individuals or corporations to take over a business. Fifth, if immediate improvements to the business succession tax deduction system are difficult, a temporary policy of inheritance tax relief on business-use assets should be considered to encourage SME business succession.
The stable succession of SMEs holds significant socioeconomic importance. Economically, it ensures the continued growth of enterprises, while socially, it plays a critical role in maintaining employment stability and social cohesion. Therefore, from the perspective of enhancing national tax competitiveness and corporate sustainability, Korea should not only refine specific aspects of the current business succession tax deduction system but also explore fundamental reforms of the inheritance tax system in the long term.
