CISG상 대금감액권에 관한 법적쟁점 (Some Issues of Price Reduction under the CISG)

초록

CISG에서는 매도인의 의무 불이행에 대한 매수인의 구제수단 중 하나로 제50조에서 대금감액권을 인정하고 있다. 대금감액이란 계약에 부적합한 물품을 매수인이 보유하되 그 대금을 발생한 하자만큼 감액하는 것을 내용으로 한다. 이러한 점에서 대금감액은 손해배상이나 계약의 일부해제가 아닌 계약 내용의 변경 내지 조정으로 볼 수 있다.그러므로 매수인에게는 매매대금의 일부 또는 전부를 구제 혹은 반환받을 수 있도록 하는 실용적이고, 경제적인 구제수단이 된다.
CISG에 의한 대금감액권의 장점으로 인해 이를 적용하는 판례가 점차 증가하고 있다. 물론 여전히 계약 당사자들이 물품이 실제로 인도되기 전에 대금감액을 청구할 수 있거나 언제 부적합한 물품의 가액을 계산해야 하는지에 관해서는 학설대립이 존대한다. 또한 CISG에 의한 대금감액의 적용의 확대는 떠오르고 있는 유럽의 계약법을 정립시킬 수 있는 고무적인 원천이 되어 왔으며 앞으로도 그럴 것이다. PECL과 DCFR이 대금감액을 구제책으로 포함하고 있고 최근의 CESL에도 이 규정을 포함하고 있다는 사실만으로도 이 구제수단이 계속 확대 적용되고 있다는 것을 뒷받침하고 있다. 대금감액은 손해배상과 비교해서 다른 논리적 근거를 지닌 구제책이다. 대금감액은 “do ut des”(주고받기)개념에서 출발한다. 매수인은 계약부적합 물품을 인수함으로써 계약을 유지하고 비율적으로 조정된 가격만 지불하면 된다.
이러한 관점에서 볼 때 대금감액권은 계약유지의 이념을 실현하고 있는 규정으로서, 이에 대한 연구가 지속적으로 이루어져야 한다고 본다.

영어초록

Price reduction under the CISG can be defined as a proportional reduction of the price, in the occurrence of the delivery of non-conforming goods within an international sales contract. Various aspects of this price reduction have already been described in the literature, but a thorough and comprehensive examination of this remedy is lacking. There are three more reasons why research about this remedy is of the utmost importance.
First, the historical roots of Article 50 CISG have to be taken into account. This remedy is founded on the so-called Roman actio quanti minoris, which was developed in civil law countries (and to a lesser extent or not at all in common law countries). The study of Article 50 CISG clarifies many aspects of the price reduction remedy based on the actio quanti minoris. At the same time, a comprehensive overview of this remedy is, of course, also interesting for countries that were not familiar with the price reduction remedy before becoming a Contracting State to the CISG. A study of this kind is also essential from a European perspective. Article 50 CISG inspired many European soft law initiatives, such as the DCFR and the PECL, to include the price reduction remedy. The Consumer Sales Directive and the recent proposed Regulation on a Common European Sales Law also introduce the price reduction remedy, and even the commentaries from some of these instruments refer to Article 50 CISG.
Finally, the most important reason to study Article 50 CISG is its frequent application in case law and the encountered difficulties in applying it. The frequent application in case law makes it clear that this remedy is very relevant and useful for the international sales practice. However, case law also shows that there are a lot of uncertainties and ambiguities, for example the calculation method and the role of the judges and parties, which still need to be resolved. In this paper, I will address these difficulties and I will formulate adequate and comprehensive answers.
This paper will discuss the price reduction remedy under the Vienna Sales Convention.
