지상물매수청구권 포기약정의 효력 (The Validity of Stipulation of the Right to Demand for the Ground Facilities Purchase)

초록

토지임차인의 지상물매수청구권은 토지임차권의 존속기간이 만료된 경우에 계약갱신이 되지 않아 임차권이 소멸할 경우에 임차인을 보호하기 위한 의미를 가지고 있다. 지상물매수청구권의 실효성을 확보하기 위하여 민법 제643조의 규정에 위반하는 약정으로서 토지임차인에게 불리한 것은 무효라고 하는 강행규정을 민법 제652조에 두고 있다.
따라서 임대차기간 만료시 임차인이 지상물을 임대인에게 무상양도하거나 철거하기로 하는 약정은 일반적으로 임차인에게 불리한 것으로 무효가 되나, 토지임대차계약의 조건, 계약체결의 경위와 계약기간, 임대료 등 제반 사정을 종합적으로 고려하여 그 포기약정이 실질적으로 임차인에게 불리하지 아니한 경우에는 유효하다 할 것이다.
지상물매수청구권의 포기약정이 임차인에게 불리하여 무효인지 여부를 판단함에 있어서 분리판단설과 종합판단설의 학설의 대립이 있으나 구체적 타당성의 관점에서 임대차계약체결의 경위나 계약기간, 임대료 등의 계약조건 및 매수청구권 포기악정이 체결 된 배경 등 여러 사정을 종합적으로 판단해야 한다는 종합판단설이 타당하다 할 것이다.
그리고 종합판단설에 의하더라도 구체적으로 임차인에게 불리한지 여부에 대한 대법원의 판례태도를 분석하여 구체적으로 고려하여야 할 사정들을 살펴보았고, 합의해지의 경우에도 포기약정을 명시적으로 한 경우와 그렇지 않은 경우에 그 유효여부에 관한 판례 태도와 포기약정 후에 다시 매수청구를 하는 것이 신의칙에 위반하지 않는가 하는 문제도 검토하였다.

영어초록

The right ti demand for the ground facilities purchase of the land lessee has a special meaning for protecting lessees when leese contract is finished without renewing contract. An enforcement provision Article 652 of the Civil Law-is prepared to secure the effectiveness of the right to demand for the ground facilities purchase. According to this Article 652 of the Civil Law, everything goes disadvantageous to the land lessee is considered null and void. Thus in case of the land lease for possessing the ground facilities, the stipulation is null that the land lessee transfers without cost or removals the ground facilities to the land lessor at the expiry of the lease term, because it is usually disadvantageous to the land lessee. However, the stipulation could be valid in the case that be evaluated not disadvantageous to the land lessee considering conditions of the land lease, contexts and various mattes of conclusion of a contract, etc. There is two theories in judging if abandonment stipulation of the right to demand for the ground facilities purchase is null or not just in case ot goes disadvantageous to the land lessee; a separate judgement and a comprehensive judgement. Among two theories, a comprehensive judgement is more appropriate theory, because a comprehensive judgement could be considered various factors including contexts such as details of conclusion of a contract, conditions of a contract like the period of a contract, and rent, and the background in which abandonment stipulation of the purchase, etc. This paper examined not only various factors to consider concretely in judging whether abandonment stipulation of the right to demand for the ground facilities purchase made goes virtually disadvantageous to the land lessee or not, but also whether both termination of mutual agreement and abandonment stipulation of the right to demand for the ground facilities purchase made at the same time, and exercising the purchase claim right after abandonment stipulation of the tight to demand for the ground facilities go against Treu un Glauben or not by analysing the precedents of the Supreme court.
