초록

동일인 지정제도는 공정거래법상 대기업집단 규제의 출발점이다. 본 논문은 동일인 지정제도와 관련된 논점 중 중요하지만 논의 자체가 덜 진행되었던 7가지 세부 분야를 분석하였다. 구체적으로 보자면, (1) 회사로서 동일인 이슈에서는 자연인의 동일인 지정을 피하고자 하는 유인과 현실을 외국인 기업인과 관련하여 분석하였으며, (2) 합산 지분율 이슈에서는 시행령상 합산 지분율이 가지는 의미와 문제점에 대한 설명을 제시하였다. (3) 동일인이 1주의 지분도 소유하지 않고 정량적 기준을 적용하는 문제에서는 정성적 기준에 의한 해결방안을 제안하였다. (4) 2022년 개정 시행령에 따른 동일인관련자 범위의 축소와 관련된 논의도 하였으며, (5) 최다출자자 요건에 관한 이슈에서는 최다출자자 요건의 의미와 효과를 설명하였으며, (6) 30% 지분 소유 요건에서는 지분 ʻ소유ʼ의 문제와 함께 ʻ의결권ʼ 문제를 다루는 한편 복수의결권에 대한 논의도 함께 하였다. 마지막으로 (7) 정량적 기준에 의한 지배력 ʻ간주ʼ 현상에 대하여 분석하였다. 이러한 쟁점에 대한 분석을 통하여 동일인 지정제도가 더욱 투명하고 정치하게 발전하기를 희망한다.

영어초록

In Korea, under the Monopoly Regulation and Fair Trade Act (MRFTA), the ʻsame-personʼ (controlling shareholder of a corporate group) designation system is the starting point and the backbone of the regulation of corporate groups. In relation to the ʻsame-personʼ designation system, this article examines seven crucial issues, which have been less discussed and analyzed in the scholarship. (1) Regarding the issue of the ʻsame-personʼ as a company, the articleʼs analysis is conducted on the controlling shareholdersʼ incentives of avoiding the designation of the ʻsame personʼ. This issue is further explained about the cases of foreign businesspeople who control corporate groups in Korea. (2) Also, this article explains the meaning and problems of the same personʼs ʻcombined ownership ratioʼ stipulated in the enforcement decree. In addition, (3) with respect to a special problem of applying the same-person designation systemʼs ʻquantitative criteriaʼ (when the same person does not own any shares but the combined ownership ratio is not less than 30%), this article proposes a solution based on the same-person designation systemʼs qualitative criteria. (4) Concerning the 2022 revised enforcement decree, this article also discusses the scope of persons related to the same person. (5) Moreover, this article explores the meaning and effects of the ʻlargest shareholderʼ requirement in the quantitative criteria of the same-person designation system. (6) Regarding the quantitative criteriaʼs condition of ʻowning 30% of sharesʼ, this article examines the issues of share ownership and voting rights as well as the issue of dual-class equity structures. Finally, (7) this article explores the phenomenon and problems of designating the same person mainly based on the quantitative criteria. Based on the analysis of these seven issues, I hope that the same-person designation system will develop further in a more transparent and sophisticated manner.
