상사소멸시효와 부당이득반환청구권 - 대법원 2021. 6. 24.선고 2020다208621 판결을 중심으로 - (Commercial statute of limitations and right to claim return of unfair profits)

초록

부당이득반환청구권은 민법 제741조에 의해 인정된 권리이다. 그럼에도 불구하고 상거래로 인하여 이루어진 급부의 반환을 구하는 부당이득반환청구권에 대해서 대법원은 거래관계의 성격 등을 고려하여 그 거래관계를 신속히 종결할 필요가 있는 경우에는 상사소멸시효를 적용하고 있다. 상사소멸시효는 상행위가 불특정다수를 상대로 계속·반복적으로 이루어지는 특성, 즉 영업성을 가지는 점을 고려하여 그 거래관계를 신속히 종결하도록 하기 위하여 인정되는 제도이다. 다만, 소멸시효제도는 진정한 권리자의 권리를 제한하는 것이므로 신속한 해결의 필요성은 영업적 상행위와 영업성을 가지는 보조적 상행위에 대하여 제한적으로 해석할 필요가 있다. 상거래를 원인으로 급부가 이루어진 후 그 상거래의 무효를 원인으로 그 급부의 반환을 구하는 경우 그 급부의 반환은 급부와 대응하는 관계로 볼 수 있다. 따라서 부당이득반환을 청구한 경우 신속한 해결의 필요성 여부는 급부의 원인인 행위가 상행위인지와 그 행위가 영업성을 특징으로 하는지 여부를 기준으로 판단하는 것이 타당하다고 본다. 최근 대법원은 주식회사의 주주에 대한 이익배당이 무효인 경우 그 배당금반환청구권에 대하여 상사소멸시효가 아닌 민사소멸시효를 적용하였다. 이익배당은 상거래가 아니며, 자본충실의 원칙에 비추어 위법배당금의 반환은 신속한 해결의 필요성이 없다는 점을 근거로 든다. 이익배당은 상행위가 아니며 영업성을 가지지 않는 점에서 동 판결의 결론과 논지는 타당하다.

영어초록

The right to claim return of unjust enrichment is a right recognized by Article 741 of the Civil Act. Nevertheless, When applying the statute of limitations on the right to claim the return of unjust enrichment seeking the return of benefits made through commercial transactions, the Supreme Court considers the nature of the transaction relationship and uses ‘whether or not it needs to be terminated promptly’ as the standard. The commercial statute of limitations is a system designed to realize the prompt termination of commercial relationships. The ‘need for rapid conclusion’ is recognized on the basis that commercial activities have the characteristic of being conducted continuously and repeatedly for an unspecified number of people, that is, they have business nature. However, since the statute of limitations system limits the rights of the true rights holder, the need for a speedy resolution needs to be interpreted limited to business-like commercial activities and auxiliary commercial activities that have a business nature.
A claim for benefits made on the basis of a commercial transaction and a claim for return of those benefits on the basis of the invalidity of the commercial transaction have a corresponding relationship with each other. Therefore, in cases where a refund of unfair profits is claimed, it is considered appropriate to judge whether a prompt resolution is necessary based on whether the act causing the payment is a commercial act and whether the act is characterized by business nature.
Recently, the Supreme Court applied the civil statute of limitations, not the commercial statute of limitations, to the right to claim return of profit dividend when a stock company's profit dividend to shareholders is invalid. The Supreme Court cited the fact that, the payment of profit dividends was not made as a result of commercial activity, and in terms of the principle of capital fidelity, there is no need for a prompt resolution in the return of illegal profit dividends. The conclusion and argument of this ruling are valid in that profit dividends are not commercial activities and do not have business nature.
