초록

집단소송 허가를 결정하는 단계에서 부실표시의 중요성을 심리하여야 하는지에 대하여 견해가 엇갈리고 있다. 미국 연방대법원의 다수의견은 부실표시의 중요성에 대한 입증은 시장사기이론에 기초한 증권사기사건의 집단소송허가단계에서 심리하여야 할 필수 요건이 아니며, 부실표시의 중요성은 압도성 요건을 판단하는데 필요한 집단구성원의 공통 쟁점이라고 한다. 그래서 부실표시의 중요성은 소송허가단계에서 심리할 필요가 없으며 사실심리의 단계에서 증명하면 된다고 하였다. 우리 증권집단소송법이 소송허가절차와 본안심리절차를 분리하고 있는바, 소송허가단계에서는 실체적 심리에 해당되는 중요성을 심리할 필요가 없으며, 다만 집단의 사실적 또는 법률적 쟁점이 공통된다는 점만 증명하면 된다고 대법원이 판시하고 있는데, 이는 미국 연방대법원은 다수 의견과 맥을 같이 하고 있다. 우리 대법원이 증권신고서 등의 허위기재로 인한 증권집단소송에서 허위기재의 중요성의 심리는 소송허가요건이 아니라 본안심리 사항이라고 판단한 것은 소송허가가 어렵도록 법이 규정하고 있다는 점을 고려할 때 타당하다고 생각된다.

영어초록

It is a controversial case about whether the substantive content of a claim for damages should be heard at the stage of making a decision to permit a class action. According to the view that the class action should be granted only when the importance of misrepresentation is recognized, it is necessary for the defendant to examine the case of the preliminary hearing at the permission stage because the class action suffers a lot of losses from the disadvantage. In particular, a small number of US Supreme Court's view that trust is estimated by market fraud theory in securities fraud lawsuits, If the estimate is broken, it should not be a decision to grant a lawsuit permission.
In addition, SECURITIES-RELATED CLASS ACTION ACT provides for the separation of the litigation permission procedure and the trial of the main litigation, and in the litigation permitting stage, a legal claim or a de facto important issue is applied to all the members as a claim for damages under Article 3 (1). The Supreme Court has the opinion that the importance of misrepresentation is not a litigation permission requirement, since it is sufficient to prove that it is common, and that the importance of misrepresentation is examined at the substantive stage of the case. Korea Supreme Court adopted the view of the majority opinion of the US Supreme Court. In the efficient securities market which is disclosed by accepting the market fraud theory, defendant's misrepresentation or omission is reflected in the stock price, It is assumed that the buyer bought the stock that the price is fair price, because the buyer relied on the misrepresentation or omission. However, at the stage of granting a securities class action, it is not necessary to prove the importance of the misstatement, but it is sufficient to prove the commonality of legal or real issues. Considering that it is not easy to approve a lawsuit in securities class action, it is reasonable for the Supreme Court to consider that the importance of misrepresentation should not be examined during the permission process.
