대리인문제와 기업지배구조가 회계이익의 정보성에 미치는 영향 (An effect of Agency Problems and Corporate Governance Structure on the Informativeness of Accounting Earnings)

본 연구에서는 주주와 경영자 사이의 전통적인 대리인문제와 소액주주와 지배주주 사이의 대리인문제 발생가능성에 따라 대리인문제 유형을 구분하고, 각각의 대리인문제 유형이 회계이익의 정보성에 미치는 영향을 살펴보았다. 또한 이익의 정보성이 대리인문제 유형에 따라 어떠한 차이를 보이는지 점검하였다. 그리고 이익의 정보성을 높이는데 공헌하는 기업지배구조의 감시 역할을 외국인투자자와 사외이사로 구분하여, 대리인문제 유형별로 기업지배구조가 이익의 정보성에 미치는 영향의 차이를 살펴보았다.
2000년부터 2002년까지 한국증권거래소에 계속 상장된 12월 결산 제조기업을 표본으로 선정하여 분석을 실시하였다. 연구결과, 주주와 경영자 사이의 전통적인 대리인문제 발생가능성이 높은 경우 이익의 정보성이 낮은 것으로 나타났다. 소액주주와 지배주주 사이의 대리인문제 발생가능성과 이익의 정보성과는 유의적인 결과를 발견할 수 없었다. 두 가지 대리인문제의 발생가능성이 높은 경우가 낮은 경우보다 이익의 정보성이 낮으며, 소액주주와 지배주주와의 대리인문제보다 주주와 경영자 사이의 대리인문제가 이익의 정보성에 미치는 영향이 큰 것으로 나타났다. 또한 주주와 경영자 사이의 대리인문제 발생가능성이 높은 경우 이사회를 통한 감시가 이익의 정보성을 높이는데 효과적인 것으로 나타났다.

영어초록

This study concerns the relationship between types of agency problems and informativeness of accounting earnings. Two types of agency problems are identified and distinguished: one is the agency problem between shareholders and managers, and the other is agency problem between minority and majority shareholders. The study also investigate the influence of corporate governance such as foreign investors and outside directors on the relation between types of agency problems and informativeness of accounting earnings.
Using a sample of 1,264 Korean manufacturing firm-year observations for the year 2000-2002, this paper empirically examines the impact of types of agency problems on informativeness of accounting earnings and the role of corporate governance in determining the association between types of agency problems and earnings informativeness .
Empirical findings are as follows:
First, the conflict of interests between shareholders and the managers has statistically significant negative effect on informativeness of accounting earnings whereas there is no statistically significant effect of the agency problem between minority and majority shareholders on earnings informativeness.


Second, firms with high level of two agency problems show lower earnings informativeness than that of the firms experiencing low level of those problems. Also, firms experiencing high level of managers’ agency problem and low level of controlling shareholders’ agency problem show lower earnings informativeness than those with low level of traditional agency problem and high level of majority shareholders’ agency problem.
Additionally, outside directors’ monitoring plays a crucial role in determining the relationship between types of agency problems and informativeness of accounting earnings.
