초록

NFT 플랫폼의 OSP 책임을 분석하기 위해서는 먼저 NFT에 대한 기초적인 내용을 법적 관점에서 파악해야 한다. NFT는 블록체인 특히 상당수가 이더리움 기반으로 발행되며 그 구성요소는 콘텐츠 원본 파일, 콘텐츠에 대한 정보인 메타데이터, 스마트 계약 부분으로 구분할 수 있다. 스마트 계약 부분은 블록체인에 저장되는 프로그램 코드에 불과하므로 복제권 등의 저작권 침해와 관련이 없으나 콘텐츠 원본 파일, 메타데이터는 일반적으로 블록체인 외부의 오프체인에 저장되어 복제·전송의 대상이 되므로 저작권 침해와 밀접한 관련이 있다. 즉 콘텐츠 원본 파일, 메타데이터 파일이 저장되는 공간이 OSP로서 NFT 플랫폼이 주로 책임을 져야 하는 공간이다.
그 다음으로, 이러한 기본적인 이해를 바탕으로 NFT 플랫폼의 구조를 정의할 필요가 있다. 오픈씨(OpenSea) 수퍼레어(SuperRare) 등 최근의 대형 NFT 마켓플레이스는 콘텐츠 원본 파일과 메타데이터 파일을 거래소 외부의 IPFS(InterPlanetary File System)에 저장할 수 있도록 지원하고 있다. 이러한 유형의 NFT 마켓플레이스는 콘텐츠 원본 파일을 썸네일 형식의 작은 파일로 자체 보관하기도 하지만 주요하게는 스마트 계약 주소와 CID(Content Identifier)를 보여주면서 외부 IPFS에 저장된 콘텐츠 원본 파일을 연계시키고 있으므로, 저장서비스와 함께 일종의 링크를 제공하는 정보검색서비스를 제공한다고 판단된다. 이러한 NFT 플랫폼의 구조에 비추어 본 연구는 NFT 플랫폼을 NFT 마켓플레이스와 이와 연계된 저장소(IPFS, 클라우드)가 결합된 것으로 정의하였다.
이와 같이 정의된 NFT 플랫폼은 저작권법 제102조 제1항 제3호의 저장서비스제공자 및 정보검색서비스제공자에 해당한다고 생각된다. 이러한 OSP로서의 성격을 고려하여 NFT 플랫폼에 대한 책임성립요건과 책임면제요건을 각각 검토할 필요가 있다. 종래 문헌 중에는 저작권법상 OSP의 책임성립요건과 책임면제요건를 명확히 구분하지 아니하고 대법원 판례나 저작권법 제102조를 논하는 경우가 있으나 이들을 분명하게 구분하고 논의하는 것이 필요하다. 또한 판례는 P2P 공유사이트, 웹스토리지 서비스 등과 같이 저작권 침해 우려가 높은 OSP에 대한 책임성립요건과 그 외 일반적인 OSP에 대한 책임성립요건을 달리 판시하고 있는데, 이들 판례를 OSP 전체에 일반적으로 적용할 수 있는 통합적인 법리로 볼 것인지 아니면 OSP 성격에 따른 이원적인 법리로 볼 것인지 학계의 논의가 필요하다고 생각한다.
NFT 플랫폼이 부담하는 OSP 책임요건 중 가장 중요한 것은 ‘게시물에 대한 관리·통제 능력’이다. 여기서 NFT 플랫폼이 콘텐츠 원본의 저장소로서 IPFS를 채택하고 있는지 아니면 NFT 플랫폼이 관리할 수 있는 내부 저장소 내지 외부 클라우스 서비스를 이용하고 있는지에 따라, NFT 플랫폼의 책임요건이 달라진다고 생각된다. IPFS는 P2P 네트워크이므로 NFT 플랫폼이 다른 노드(컴퓨터)에 대해 특정 콘텐츠의 삭제나 접속차단을 요구할 수 없다. 이는 NFT 플랫폼이 IPFS 영역에서는 게시물에 대한 기술적 관리통제 능력이 없다는 것을 의미한다. 따라서 NFT 플랫폼은 NFT 마켓플레이스에서 저작권 침해물을 삭제하고 IPFS에 연결될 수 있는 검색정보를 차단하는 것만으로 OSP 책임을 면할 수 있다고 하여야 한다. 이렇게 해석하지 아니하면 NFT 플랫폼에게 불가능한 행위책임을 요구하는 것이 되어 부당한 결론에 이르게 된다. 나아가 NFT 플랫폼이 내부 저장소 또는 클라우드 저장서비스를 이용하는 경우에는 저장된 게시물에 대한 관리통제 권한을 보유하고 있는 것이므로 내부 저장소 또는 클라우드에서도 게시물을 삭제하여야 저작권법상 OSP 책임을 면할 수 있을 것이다.
마지막으로 언급하고 싶은 것은 NFT 플랫폼의 OSP 책임에 영향을 주는 IPFS의 특성이다. IPFS에서는 ① 기술적, 정책적으로 전체 네트워크에서 특정 콘텐츠의 완전한 삭제가 불가능하고 ② URL이 아닌 CID 방식에 의하여 콘텐츠의 식별 및 검색이 용이하고 ③ DHT 질의가 공개되어 있어 제3자가 CID를 요청하는 특정 노드의 활동을 모니터링할 수 있는 가능성이 있다. IPFS를 저장소로 채택하는 OSP에 대해서는 이러한 특성이 적절히 고려되어야 한다.

영어초록

In order to analyze the OSP liability of the NFT platform, it is necessary to understand the basic technical aspects of the NFT from a legal point of view. NFTs are issued based on blockchain, especially Ethereum, and their components can be divided into original content file, metadata and smart contract. Since the smart contract is only a program code stored in the blockchain, it is not related to copyright infringement. But original content file and metadata are generally stored off-chain outside the blockchain and are closely related to copyright infringement. In other words, the space where the original content file and the metadata file are stored is the space that the NFT platform is mainly responsible for as the OSP.
Next, it is necessary to define the structure of the NFT platform based on this basic understanding. Recently, large NFT marketplaces such as OpenSea and SuperRare support storing original content files and metadata files in the InterPlanetary File System (IPFS) outside the marketplace. Although this type of NFT marketplace keeps the original content file itself as a small file in the form of a thumbnail, it mainly shows the smart contract address and CID (Content Identifier) and links the original content file stored in the external IPFS through them. So, the NFT platform is considered to provide hosting service and information search service. In light of the structure of this NFT platform, this study defines the NFT platform as a combination of NFT marketplaces and related storage such as IPFS and Cloud.
The NFT platform defined in this way is considered to correspond to a hosting service provider and an information search service provider under Article 102 (1) (3) of the Copyright Act. Considering the nature of the OSP, it is necessary to review the requirements for establishment of liability for the NFT platform and the requirements for exemption from liability, respectively. Among the prior literatures, there are cases where the Supreme Court precedents or Article 102 of the Copyright Act are discussed without clearly distinguishing between the requirements for establishment of liability and the requirements for exemption from liability under the Copyright Act. In addition, the Supreme Court precedents stipulate different requirements for establish- ment of liability for OSPs with high risk of copyright infringement, such as P2P sharing sites and web storage services, and requirements for establishment of liability for other general OSPs. I think it is necessary to discuss whether to view these precedents as integrated jurisprudence that can be generally applied to OSPs or as dual jurisprudence according to the nature of OSPs.
The most important of the OSP liability requirements borne by the NFT platform is ‘the ability to manage and control posts’. Here, it is thought that the liability requirements of the NFT platform vary depending on whether the NFT platform adopts IPFS as a repository of content sources or uses internal storage or external cloud services that the NFT platform can manage. Since IPFS is a P2P network, the NFT platform cannot force other nodes (computers) to delete specific content or block access to it. This means that the NFT platform does not have the capability of the technical management and control of posts in the IPFS area. Therefore, it should be said that the NFT platform can avoid OSP liability only by removing copyright infringe- ment from the NFT marketplace and blocking search information that can be linked to IPFS. Without this interpretation, it becomes a request for impossible action for exemption to the NFT platform, leading to an unfair conclusion. Furthermore, when the NFT platform uses an internal storage or cloud storage service, it has the right to manage and control stored posts, so it is necessary to delete the posts from the internal storage or cloud to avoid OSP liability under copyright law.
The last thing I would like to mention is the nature of IPFS that affects the OSP responsibilities of NFT platforms. In IPFS, ① it is technically impossible to completely delete specific content from the entire network, ② it is easy to identify and search content by CID method rather than URL, and ③ DHT queries are disclosed, so it is possible for a third party to monitor the activity of specific nodes requesting CID. These characteristics should be properly considered for OSPs that adopt IPFS as a repository.
