2007년 商法 海商編의 編制 및 複合運送에 대한 改正經緯와 그 內容 (A study on the Structual Change and Combined Transport under the newly revised Korean Commercial Code)

초록

본 논문은 한국해법학회 2007년 가을철 학술발표회에서 발표된 2007년 개정상법 해상편의 두 가지 별개의 주제(개정상법 해상편의 체제개선과 복합운송)에 대하여 고찰한다.
2007년 개정상법은 운송계약을 개품운송과 항해용선으로 완전히 분리하였고 용선계약을 항해용선, 정기용선, 선체용선(나용선)으로 나누어 각각 정의규정과 당사자 사이의 권리와 의무에 대한 최소한의 규정을 가지게 되었다. 개품운송은 부합계약의 성질상 단행법으로서 규율할 필요성이 있고, 이제 우리나라도 다른 선진 해운국과 같이 이를 단행법으로 만들어 갈 수 있는 길이 열리게 되었다. 논란의 중심에 있었던 상법 제806조의 주운송인에 정기용선자도 포함시키게 되었다. 그러나 제806조를 개품운송에만 적용시키게 됨으로써, 실무적으로 더 필요성이 있는 항해용선에는 적용되지 않게 되어 그 효용성이 오히려 떨어진다는 비판을 가할 수 있다.
현행 상법은 복합운송에 대한 규정을 가지고 있지 않다. 복합운송을 규율하기 위하여는 상법 상행위편에 이를 규정하여 해상, 육상, 항공을 모두 망라하는 것이 되어야 하지만, 상법 해상편을 개정하는 것이었기 때문에, 해상운송이 포함되는 복합운송을 상법 해상편에 규정하게 되었다. 2007년 개정 상법에서는 다른 국제조약의 예에 따라서 이종간 책임제도(network liability system)를 도입하여 사고 구간에 적용되는 법을 적용하게 되었다. 손해구간불명손해(concealed damages)에서는 운송구간의 길이가 가장 긴 구간의 법을 적용하도록 되어 예측가능성을 운송관계인에게 부여하게 되었다.

영어초록

This article originates from the address delivered at the 2007 Fall conference of the Korean Maritime Law Association held in Seoul. Two separate issues of (i) the reshuffle of structure and (ii) inserting provisions on the combined transport in the Maritime Law Section (Book V) of the 2007 revised Korean Commercial Code are dealt.
The new Code makes it clear that the contract of carriage has two different forms namely as the contract of carriage for individual goods (same as common carriage of goods) and voyage charter party. These two types of contracts are stipulated in the separate chapters. Several kinds of charter parties such as bareboat charter party, time charter party and voyage charter party have their own chapters with definition and each party's right and obligation. It can be said that new Code paves the way for the another new enactment for Korean COGSA in the near future, now that the contract of the carriage for individual goods has a separate chapter. Whether Article 806 is applicable or not when the time charterer acts as the contracting carrier has been one of the hottest issue in Korea. This controversy is solved by the new enactment that in the above case, the Article 806 will be applicable and thus the owner is liable with the time charterer as the contracting carrier. However, the new Code limited it only to the contract for individual goods at the final contract of carriage stage and thus voyage charter party is excluded.
The current Code does not have a provision on the combined transport. The new Code comes to have a provision on the Maritime Law section (Book V) rather than the general section of the commercial activities (Book I & II) because the mandate for the revision is only limited to the maritime law. As a result, the provision is applicable only for a combined transport including sea carriage. Under new Code, network liability system is adopted. In the case of concealed damages, the law applicable in the geographic transport section which is the longest among several section will be applied. These new provisions will bring predictability and foreseeability into the maritime industries.
