초록

본 연구는 2012년부터 2017년까지 유가증권시장에 상장된 기업을 대상으로 사채발행시장에서 대표주관사수수료가 감사보수와 감사시간에 미치는 영향을 살펴보는 것에 목적을 둔다. 사채발행제비용은 대표주관사에게 지급된 수수료를 대용치로 하여 감사보수 및 감사시간에 미치는 영향을 분석하였다. 이는 재무정보 보증이라는 관점에서 대표주관사의 역할을 살펴보기 위함이다.
분석결과, 대표주관수수료는 감사보수 및 감사시간과 음(-)의 상관관계를 가지는 것으로 나타났다. 이는 2012년 이후 사채발행시장에서 발행기업의 재무제표 보증에 대한 대표주관사의 책임과 역할이 강화됨에 따라 발행기업이 대표주관사에게 높은 수수료를 지급하는 경우 높은 주관사의 품질로 인해 시장에 신뢰성 있는 기업정보가 전달되었음을 의미한다.
본 연구는 사채발행시장에서 대표주관수수료와 감사보수가 결정되는 의사결정 과정에 대해 분석하고, 기업이 채권을 발행할 때 주관수수료가 높을수록 감사보수와 감사시간이 낮아진다는 실증적인 근거를 제시하고 있다. 본 연구의 결과는 사채발행시장에서 감사인이 감사업무에 투입하는 감사시간과 이에 대한 보상으로 수취하는 감사보수를 책정할 때, 피감사기업에 대한 주관사의 재무제표 보증의 실효성을 고려하고 있다는 것을 밝혔다는 데에 공헌점이 있다.

영어초록

The purpose of this study is to examine the effect of underwriting fee for bond issuance on audit fee and audit hour. In 2012, the government strengthened the role of representative underwriter in the bond issuance market to enhance the effectiveness of due diligence service. After the role of representative underwriter has been strengthened, we expect that representative underwriter will invest more time and manpower to provide high quality of certification responsibility for financial information provided by the bond issuing firm.
Using firms listed on KOSPI from 2012 to 2017, we find that the representative underwriting fee is negatively correlated with the audit fee and audit hour. We find the consistent negative results when we use abnormal underwriter fees or analyze the samples only that report net income. As a result of analysis using other underwriter fees, we find the positive relation on audit fees and audit hours. It implies that we find negative relation only for representative fees due to certification of financial information.
The contributions of this study are as follows. First, this study analyzes the decision-making process in which the underwriting fee and audit fee are determined in the bond issuance market, and calls attention to the supervisory authority and suggests the need for discussion concerning market regulation by providing empirical evidence that underwriting fee and audit fee are mutually affected rather than independently decided. Second, this study provides meaningful result for future research concerning the bond issuance market by suggesting the importance of underwriting fee. This study provided the evidence that the auditor considers the effectiveness of financial statement certification role of underwriter when deciding audit fee and audit hour in the bond issuance market.
