우회상장제도가 이익의 질에 미치는 영향 (The Effect of Backdoor Listing Requirements and Procedures on Earnings Quality)

초록

비상장기업이 상장기업이 되고자 하는 방법에는 두 가지가 있다. 하나는 주식공모를 통한 신규상장이고, 다른 하나는 비상장기업이 상장기업과 합병 등의 기업결합을 통해 상장효과를 누리는 우회상장이다. 후자인 우회상장의 경우는 전자와달리 신규상장의 요건과 절차를 거치지 않고 상장할 수 있는 방법이라는 점에서 기술력과 성장성을 갖춘 비상장기업이 단기간에 저렴한 비용으로 기업 이미지 제고와 금융시장 접근성 확보 등의 상장효과를 얻을 수 있는 이점이 있다.
우회상장기업에 대한 연구는 현재까지 초기 수준에 머물러 있고, 또한 이익의 질 관점에서 우회상장기업들을 다룬 선행연구는 찾아보기 어렵다. 본 논문은 신규상장과 우회상장의 상장요건과 절차의 차이로 인하여 우회상장을 앞둔 비상장기업(이하 우회상장기업)의 상장 전 이익의 질이 신규상장을 앞둔 비상장기업과 비교하여 차이가 있는지를 분석하였다. 그리고 규제기관의 2006년도 우회상장에 대한 규제강화 노력에 효과성이 있는가도 살펴보았다. 이를 위해서 규제강화 전후기간에 우회상장기업의 이익의 질이 차이가 나타나는지를 비교 분석하였다. 본 논문의 연구대상 기업은 2001년부터 2010년까지 코스닥시장에 우회상장한 221개 비상장기업과 비교 대상 표본으로 같은 기간에 신규상장한 448개 기업이다.
분석결과에 따르면 첫째, 우회상장기업의 상장 전 이익의 질은 신규상장기업보다 낮은 것으로 나타났다. 이는 상대적으로엄격한 신규상장의 상장기준을 충족시키기 어려운 비상장기업들이 우회상장을 선택하여 시장에 진입했을 가능성이 있음을시사한다. 둘째, 2006년 6월의 ‘우회상장 규제강화조치’ 전후 기간에 우회상장한 기업들의 상장 전 보고이익의 질은 별다른 차이가 나타나지 않았다. 이는 현행 상장요건의 외형적 기준만을 강화한 2006년의 규제강화조치는 우회상장을 시도하는 비상장기업의 이익의 질을 향상시키는데 기여하지 않았음을 나타내는 결과이며, 또한 상장절차의 보완과 함께 신규상장 요건과 같이 질적 기준을 포함해야 함을 의미하고 있다.

영어초록

There are two ways of becoming listed firms for unlisted firms. One is initial public offering(IPO) and the other is backdoor listing(BL). The BL has simpler listing requirements andprocedures than the IPO. Unlisted firms with short history, small firm size, high technology,and high growth rate can become listed firms through BL at a low cost and thus can enhancepublic recognition and increase financing capabilities. The BL can give diversification advantageand synergy effect to unlisted firms and can increase vigor for the stock market with thecombination of listed firms and unlisted firms.
The research on the BL firms is at early stage, and it is hard to find a prior research inaccounting area. This paper investigates whether the earnings quality of the BL firms beforelisting is different from that of the IPO firms. This paper also examines the difference of theearnings quality of the BL firms prior to listing before and after 2006 when the regulations ofBL strengthened.
As measures of earnings quality, this research uses persistence, predictability, earningsmanagement, and conservatism which were discussed in Dechow et al.(2010). The number ofBL firms analyzed in the paper is 221 which were listed in KOSDAQ from 2001 to 2010.
Research findings are as follows. First, the earnings quality of the BL firms before listing islower than that of IPO firms. This implies that the unlisted firms having difficulty to meet thestrict IPO listing requirements and procedures may have chosen BL to enter the market. Second,the earnings quality of the BL firms before and after the 2006 regulations is not significantly different. The result means that the new quantitative requirements of the regulation for BL donot contribute to increasing the earnings quality of the BL firms.
The findings of this paper will contribute to the studies on the BL which have been neglectedso far in accounting and finance area.
