영업비밀 성립요건 중 경제적 유용성 (Economic Value of Trade Secret)

초록

“공공연히 알려져 있지 아니하고 ‘독립된 경제적 가치’를 가지는 것으로서, 합리적인 노력에 의하여 비밀로 유지된 생산방법, 판매방법, 그 밖에 ‘영업활동에 유용한’ 기술상 또는 경영상의 정보”라는 영업비밀의 정의규정에서 ‘유용한’이라는 용어와, ‘독립된 경제적 가치’라는 용어의 관계를 어떻게 이해하는 것이 타당한지에 대해 검토해 보았다.
1991년 부정경쟁방지법 개정 당시 국회 심사보고서에서는 이 문제에 대한 특별한 설명을 찾을 수 없어 그 입법 취지를 정확히 알기는 어렵지만, 영업비밀보호법제 마련의 계기가 된 TRIPs의 관련규정과 주요국의 입법례 및 그 해석론을 참고하면 ‘독립된 경제적 가치성’과 ‘유용성’을 별도의 의미를 갖는 영업비밀 성립요건으로 보기는 어렵고 ‘독립된 경제적 가치’와 ‘유용한’이라는 용어가 함께 하나의 영업비밀 성립요건(경제적 유용성)이 되는 것으로 이해하는 것이 타당할 것이다.
또한, ‘독립된 경제적 가치를 가진다’는 것의 의미에 대한 대법원의 판시 즉, “그 정보의 보유자가 그 정보의 사용을 통해 경쟁자에 대하여 경쟁상의 이익을 얻을 수 있거나(요건 ①) 또는 그 정보의 취득이나 개발을 위해 상당한 비용이나 노력이 필요하다는 것(요건 ②)”의 의미에 대해서는, (i) 직접적 증거를 통한 입증방법 또는 (ii) 정황증거를 통한 입증방법을 통해 경제적 가치를 입증할 수 있고, 후자의 경우 ‘그 정보의 취득이나 개발을 위해 상당한 비용이나 노력이 필요하다’는 점 외에 다른 정황증거도 함께 고려하여 전체적으로 볼 때 해당 정보의 경제적 가치를 인정할 수 있는지 여부를 판단하는 방법으로 이해하는 것이 바람직하다고 생각된다.

영어초록

According to Unfair Competition Prevention and Trade Secret Protection Act (hereinafter ‘Unfair Competition Prevention Act’), ‘trade secret’ is defined as technical or business information‘useful for business activities,’ including a production method, sale method, that is not known publicly, is the subject of reasonable efforts to maintain its secrecy, and has ‘independent economic value.’ This article discusses the relationship between the ‘useful for business activities’requirement and the ‘independent economic value’requirement.
Because the national assembly committee report on the 1991 bill amending the Unfair Competition Prevention Act does not provide any explanation on this issue, the legislative intent is not certain. However, the ‘useful for business activities’requirement and the ‘independent economic value’requirement should not be understood as separate and independent requirements for trade secret subject matter eligibility for the following reasons. The‘commercial value’ limitation in Article 39 of TRIPs to protection for undisclosed information is similarly reflected in diverse domestic trade secret regimes, such as ‘independent economic value’ in the United States, ‘justifiable commercial interest’ in Germany and ‘useful in commercial activity’in Japan. All these requirements mean that, without such commercial value, the information at question cannot be protected, regardless of its secret content.
The Supreme Court held that in order for any information to have ‘independent economic value.’, (1) the holder of the information gains competitive advantage by using the information (requirement (1)), or (2) substantial resources should be invested to acquire or produce the information (requirement (2)). It would be reasonable to understand this holding as follows: Evidence of independent economic value may be presented in two ways, either by providing direct evidence of economic value ((requirement (1)) or by providing circumstantial evidence (requirement (2)). The first method focuses on the actual competitive advantage that the trade secret holder gains from its information. The second method focuses on the overall evaluation of the economic value based upon circumstantial evidence, including not only the resources invested in acquiring or producing the information but also other factors.
