가액반환을 명하는 사해행위취소판결과 민법 제407조 (Judgment for the Revocation of Fraudulent Transfer Ordering Valued Compensation and Equality among Creditors)

초록

민법 제407조는 사해행위취소와 원상회복이 모든 채권자의 이익을 위해 효력이 있다고 규정하고 있다. 그럼에도 불구하고 사해행위취소가 가액반환 형태로 이뤄지는 경우, 취소채권자가 수익자에게서 가액반환금을 직접 지급받은 후 자신의 피보전채권과 상계함으로써 우선 변제받는 관행이 생겨났고, 이런 관행으로 인해 민법 제407조의 취지가 몰각되고 있다. 이 연구는 이런 문제점에 착안하여 판례가 취하고 있는 상대적 효력설의 입장에서 해석을 통해 이런 불합리를 완화할 수 있는 방법을 모색하는 것을 목적으로 한다.
이 연구의 결과를 요약하면 다음과 같다. 첫째, 사해행위취소의 효력이 미치는 범위는 ‘취소채권자와 수익자 사이’라는 인적 기준에 따라 정해지는 것이 아니라 ‘일탈재산에 대한 집행을 통해 채권의 만족에 이바지하는지 여부’라는 물적 기준에 의해 정해진다. 둘째, 가액반환금 채권은 실체법적으로 채무자에게 귀속되고 취소채권자는 이를 대위 수령할 뿐이다. 셋째, 취소소송이 제기되고 가액반환방식의 원상회복이 예상되면, 다른 채권자들은 취소소송의 확정을 정지조건으로 하는 조건부 채권인 가액반환금 채권에 대해 보전조치를 취할 수 있고 가액반환판결이 확정되면 배당에 참가할 수 있다. 넷째, 취소채권자가 가액반환금 채권을 대위 수령할 때까지 다른 채권자의 보전조치가 없다면, 채권자대위권의 경우와 마찬가지로 자신의 피보전채권을 자동채권으로 삼아 대위 수령한 금전의 인도채무를 상계함으로써 우선적 만족을 얻을 수 있다.

영어초록

Article 407 of the Civil Code stipulates that the revocation and restoration of a fraudulent transfer is effective for the benefit of all creditors. According to the judicial practice, which stands in the position of the theory of relative effectiveness, a judgment to revocate the fraudulent transfer orders that the title of ownership of the object be returned to the debtor. If the object is real estate, the registration of the transferee's name is expunged and debtor's name is restored. When a creditor initiates compulsory execution, the purpose of Article 407 is properly realized as other creditors participate in the distribution.
However, the situation is different when restoration is carried out in the form of valued compensation. The judgment of the valued compensation orders the transferee to pay the valued compesation directly the creditor. After receiving the valued compensation, the creditor obtains preferential satisfaction by offsetting the claim to the debtor and debt to hand over to the debtor valued compensation. In this way, in the value compensation method, other creditors cannot participate in the distribution of the property recovered by the revocation of the fraudulent act, thus defeating the purpose of Article 407 of the Civil Act.
This study sought to interpret the law in which the principle of equality of creditors could be enforced even in the case of value compensation within the scope of the relative effectiveness theory adopted by Supreme Court. First, I present my opinion on the meaning of relative effectiveness. Second, it is argued that, in the case of an order to return the valued compensation, the claims for valued compenstion generated by the judgment belong to the debtor, not to the creditor. If the value compensation claim belongs to the debtor, it can be said that the basis for other creditors to participate in the distribution of the returned valued compesation has been established. Third, I look for the specific ways other creditors can participate in the distribution under the Enforcement Act. In addition, the issue of participation by transferee, who can be said to be one of the creditors, is also reviewed.
