기업회계기준서 제1027호의 비판적 고찰 (A Critical Study for No 1027 of Financial Accounting standard)

초록

한국회계기준원 회계기준위원회는 2008년 11월 기업회계기준서 제1027호를 의결하고 2011년 1월 1일 이후 최초로 개시하는 회계연도부터 의무적으로 적용하도록 하였다. 기업회계기준서 제25호와 비교해 볼 때, 중요하게 바뀐 것은 연결재무제표가 주재무제표가 되고, 지배종속관계를 의결권있는 주식이 아니라 의결권을 기준으로 판단한다는 것이다. 이는 국제회계기준과의 정합성 때문이다.
주식회사외부감사에 관한 법률 시행령 제1조의3의 지배종속관계의 설정목적인 경제적 효용과 이익은 추상적인데 기업회계기준서 제2012호에서는 이것이 지배종속관계를 판단하는 기준으로 사용된다. 연결재무제표를 주재무제표로 하는 것은 종속회사의 법인격을 부인하는 것으로 기업실체이론과 맞지 않는다. 그러나 기업회계기준서 제1027호는 종속회사의 비지배지분을 연결실체의 자본으로 회계처리 하도록 함으로써 기업실체이론에 따른 것처럼 보인다. 또 차등의결권주제도를 전제로 의결권을 기준으로 지배종속관계를 판단하는데 이는 경제적 동일체라기보다는 정치적 동일체라고 하는 것이 타당하다. 경제적 동일체의 경영상태를 나타내는 것이 연결재무제표인 만큼 정치적 동일체의 지배종속관계를 나타내기 위해서는 연결재무제표 외에 다른 수단이 요구된다.

영어초록

The Accounting Standards Committee of the Korea Accounting Standards Board voted for No. 1027 of a financial accounting standard in November 2008, and made it be applied mandatorily from the fiscal year first starting since January 1, 2011. When it is compared with No. 25 of a financial accounting standard, what is importantly changed is that the consolidated financial statements becomes main financial statements and the parent-subsidiary relationship is judged with the standard of voting rights, instead of stocks with voting rights. This was decided for convergence with the international accounting standard.
The economic benefits, which are setting objectives of a parent-subsidiary relationship of No. 3 of Article 1 of an Enforcement Ordinance of the Act on External Audit of Stock Companies, are abstract, and it is used as a standard that judges a parent-subsidiary relationship in No. 2012 of a financial accounting standard. What the consolidated financial statements are set as main financial statements doesn't fit the entity theory because the corporate entity of a subsidiary is denied. But No. 1027 of a financial accounting standard seems to follow the entity theory by accounting that treats the noncontrolling interest of a subsidiary as capital of a consolidated group. Also, the parent-subsidiary relationship is judged with the standard of voting rights on the premise of a disparate voting rights system, it is reasonable that this is said to be a single political entity rather than a single economic entity. As the thing showing a management condition of a single economic entity is the consolidated financial statements, other means except the consolidated financial statements are required to show a parent-subsidiary relationship of a single political entity.
