서렌더 선하증권의 법적 문제점에 관한 연구 (A Study on the Legal Issues of Surrendered B/L)

초록

국제거래에서 물품운송과 인도의 편리성을 위하여 선하증권이 고안되었고 그동안 광범위하게 사용되었다. 그러나 컨테이너선의 등장으로 인한 하역작업시간의 단축, 선박의 대형화와 고속화로 인한 운송기간의 단축 등으로 근거리항로에서는 선하증권보다 운송물이 먼저 도착하게 되어 거래계에서는 속칭 ʻʻ선하증권의 위기ʼʼ라고 불리는 불편함을 느끼게 되었다. 이 때문에 실무에서는 근거리 항로의 경우 선하증권을 대체하는 제도로서 해상화물운송장을 사용하는 경우가 많았다. 해상화물운송장은 유가증권은 아니지만 해상운송에 관한 증거증권으로 적절히 기능하기 때문이다.
그런데 일부 국가에서는 은행에서 반드시 선하증권에 의한 거래만을 요구해서 해상화물운송장을 사용할 수 없었다. 때문에 선하증권의 외관을 가지고 있으면서 해상화물운송장과 유사한 증거증권의 기능만을 가지는 서렌더 선하증권이 탄생하게 되었다.
서렌더 선하증권이란 선하증권 소지인이 그가 행사할 수 있는 운송물인도청구권을 포기하고(surrender) 그러한 내용을 선하증권 또는 선하증권 양식의 사본 위에 ʻʻsurrenderedʼʼ라는 문구로서 기재한 증권을 말한다. 이는 선하증권과 동일한 외관을 가지고 있어서 선하증권에 의한 거래만을 요구하는 국가의 요구에 적합하면서도, 선하증권이 가지는 상환증권성을 가지고 있지 않기 때문에 해상화물운송장과 유사한 효력을 가지고 있어 근거리 운송에서 사용하기 편리하다. 그러나 서렌더 선하증권은 선하증권이나 해상화물운송장과는 달리 각국의 법률과 국제협약에서 규율되지 않기 때문에 이의 사용으로 인하여 다양한 복잡한 법률문제를 발생시키고 있다.
본고에서는 실무상 사용되는 서렌더 선하증권의 법적 구조를 연구하고, 관련된 법적 문제점을 고찰하면서, 이러한 문제점들을 해결할 입법안을 제시하고자 한다.
이를 위해 2장에서는 먼저 서렌더 선하증권의 의의와 발생방법, 그리고 종류를 설명하였다.
3장에서는 서렌더 선하증권의 법적 성질을 밝히고 있다.
이어서 4장에서는 서렌더 선하증권과 관련된 법률관계를 연구하고, 각각의 법률관계에서 실무상 발생하는 법적 문제점을 정리하여 그 해결방안을 모색하고 있다.
마지막으로 5장에서는 서렌더 선하증권과 관련된 문제의 해결을 위해 입법적 방안에 의한 해결을 주장하면서 현행 상법의 개정안을 제시하였다.

영어초록

Bills of lading were devised for the convenience of delivery in international transportation by sea, and have been widely used. However, in the short-distance shipping route, the goods arrived earlier than the bill of lading, because of the reduction of loading and unloading time due to the advent of container ships, and the shortening of the transportation period due to the increase in size and speed of the ship. It makes uncomfortable situation to international traders. For this reason, in the short-distance shipping route, a sea waybill was often used as a system to replace the bill of lading. Sea waybill is not a negotiable securities, but it functions properly as an documentary evidence for maritime transport.
However, in some countries, the sea waybill was not acceptable because banks only required transactions by bill of lading. Therefore, surrendered bill of lading was born, which has the appearance of a bill of lading and has only the function of an documentary evidence similar to a sea waybill.
Surrendered bill of lading means a securities in which the Consignee of the bill of lading surrenders his right to claim delivery of goods, and whose contents are stated as ʻʻsurrenderedʼʼ on a bill of lading or a copy of the bill of lading. It has the same appearance as a bill of lading, so it is suitable for the request of some countries that only require transactions by a bill of lading, and it has a similar effect to a sea waybill, so it is used conveniently for short-distance shipping route. However, surrendered bill of lading is not regulated by the State law and International Conventions, so its has caused various complex legal problems.
In this article, the author analyzed the legal structure of the surrendered bill of lading, reviewed related legal problems, and proposed legislation to solve these problems.
In Chapter 2, the author identifies the surrendered bill of lading and explains the types of them.
In Chapter 3, the author reveals the legal nature of the surrendered bill of lading.
In Chapter 4, the author discusses legal problems of the surrendered bill of lading arising in practice, suggests some solutions.
As a conclusion, in Chapter 5, the author proposes an amendment of the Korean Commercial Code for a legislative solution to legal issues of the surrendered bill of lading.
