로테르담 규칙 제36조의 계약명세에 관한 연구 (A Study on “Contract Particulars” in Article 36 under the Rotterdam Rules)

초록

로테르담 규칙에서 말하는 운송증권이란 운송인이 운송계약에 기초하여 발행하는 증권으로써 운송인 또는 이행당사자가 운송물을 수령하였음을 증명하고 운송계약을 증명하고, 유가증권으로써 유통성을 갖는(권원증권) 증권을 말한다. 하지만 운송인이 운송증권에 표시하여야 하는 계약명세는 그것이 유통성 있는 운송증권이냐에 여부와는 상관이 없다. 그리고 로테르담 규칙은 우리 상법과는 달리 운송인이 운송물을 송하인으로부터 수령한 때에 원칙적으로 발행할 의무가 있으므로 송하인의 요구와 상관없이 운송물을 수령한 때에 제36조의 계약명세가 포함된 운송증권을 수하인에게 교부하여야 한다. 비록 제36조가 운송증권에 포함되어야 할 내용을 명시적으로 규정하고 있으나 계약명세에 일부 흠결 있다고 하더라도 발행된 운송증권이 곧바로 무효가 되는 것은 아니다. 운송증권이 엄격한 요식성을 요하지 않기 때문이다. 이점은 상법도 마찬가지 이다.
우리 상법의 경우에는 제853조 제1항에서 10개의 항목이 법정화 되어 있는 반면 로테르담 규칙 제36조는 12개 항목이 나열되어 있다. 계약명세에 관한 양자의 외관상 항목은 거의 유사하게 보이지만, 개별적으로 실질 항목들을 따져 볼 경우 차이를 보인다. 이것은 로테르담 규칙이 현재 국제간 운송의 실질 모습 또는 관행을 법률체계 내로 끌어들인 결과이다. 이와 같은 바탕위에서 이 논문은 상법상 선하증권의 기재사항과 로테르담 규칙 제36조에 따라 운송증권에 기재하여야 할 계약명세의 내용을 비교․검토하고, 이 부분에 대한 향후 우리 상법의 개정 방향을 모색한다.

영어초록

The Hague and Hague-Visby Rules have very limited prescriptions as to what to be stated in the bill of lading and it have arises problems. However, the Rotterdam Rules contains in Article 36 much detailed provisions to be mentioned in the “contract particulars” which is defined in Article 1.23 as “any information relating to the contract of carriage or the goods(including terms, notations, signatures and endorsement) that is in a transport document or an electronic transport record. And transport document under the Rotterdam Rules means that a document issued by carrier under a contract of carriage, by which it evidences the carrier's receipt of goods and contract of carriage and it enable a holder of the negotiable transport document to sell the goods in transit by endorsement on the transport document and delivery to a third party. The contract particulars referred in the transport document or statements in bill of lading confer important rights on the party to the contract of carriage and third party who pay for the bill of lading in reliance on the contract particulars or bill of lading, although one or more absence or inaccuracy of the contract particulars in the transport document does not be affected unless those defects make the legal character or validity of transport document.
Article 853 of Korean Commercial Code deals with those statements to be stated on the bill of lading as one of negotiable instruments, initially accepted by law, not a document of title or quasi negotiable instrument which is capable of being transferred by delivery or endorsement but the transferor of the document cannot give a better title to holder that he himself had, but the details to be mentioned on the bill of lading is quite similar to those details of Article 36 of the Rotterdam Rules because both are based on Article 15 of the Hamburg Rules.
Under the circumstance, this paper is prepared to compare the contract particulars referred in Article 36 of the Rotterdam Rules with statements on a bill of lading under Article 853 of Korean Commercial Code and to present some idea for finding a developmental direction of Korean Commercial Code.
