발행시장의 부실공시로 인한 민사책임에 관한 고찰 - 자본시장법 제125조·제126조의 개선방향검토를 중심으로 (A Study on the Civil Liabilities for Misstatement and Omission in Disclosure Statement - Focusing on Improvement of the FINANCIAL INVESTMENT SERVICES AND CAPITAL MARKETS ACT §125·§126)

초록

자본시장법은 발행시장에 대하여 내용규제와 더불어 공시규제를 가하고, 부실공시가 있는경우 선의의 투자자가 신속하고 효율적으로 자신의 손해를 보전할 수 있도록 하는 독자적인민사책임 규정을 가지고 있다. 이러한 부실공시로 인하여 증권 발행 관련인들이 부담하는손해배상책임은 책임발생원인, 손해배상액 산정방법, 증명책임 구조, 소멸시효 등에서 민법상 불법행위책임이나 상법상 각종 법정 책임들과는 사뭇 다른 내용을 담고 있다.
지금까지 자본시장법 제125조와 제126조에 관한 몇 가지 쟁점들이 논의되어 왔으나, 통일된 해석이나 법령 개정을 통한 명확한 해결은 이루지 못하고 있는 것이 사실이다. 이 글은우리와 유사한 발행시장의 부실공시 규제 및 민사책임 규정을 가지고 있는 미국과 일본의법령 체계와 그에 대한 해석 그리고 양국 법원의 경향 등에 대하여 비교법적 검토를 수행하여 향후 우리의 해석론 및 입법론에 시사하는 바를 찾고자 했다.
필자는 이 글에서 제125조의 책임을 유통시장의 증권거래자까지 확대함과 더불어 제126조와 관련하여 거래가 이루어진 시장의 특성에 따라 공시위험을 합리적으로 분배할 수 있는손해배상액 산정방법을 모색하고, 증권발행회사의 무과실 증명에 적정한 내부통제체제의 구축 및 운용이 적극적으로 활용될 수 있을지에 관하여도 살펴보았다.

영어초록

The Financial Investment Services and Capital Markets Act §125 says "The registrant of the relevant registration statement·and directors of the issuer at the time of filing the registration·a person who falls under any of Article 401-2(1) of the Commercial Act etc. shall be liable for damages inflicted upon any person as a result of acquiring securities by including a false description or representation of any material fact in a registration statement (including a corrective registration statement and supplements thereto ; hereafter the same shall apply in this Article) and an Investment prospectus (including a preliminary investment prospectus and a simplified investment prospectus ; hereafter the same shall apply in this Article) or omitting a material fact therefrom. That such person, however, shall not be liable if he proves that he was unable to discover such inclusion or omission even if he exercised reasonable care or that the person who acquired the securities knew the fact at the time when he made an offer to acquire them. And §126 defines that "The amount of damages for which a person shall be held liable in accordance with §125 shall be the amount estimated by subtracting any of the amounts (market price of the securities at the time of closing the proceedings of the lawsuit filed for the claim of damages in accordance with §125 or disposal price if the securities are disposed of before the closing of the proceedings) from the amount actually paid by the claimant for acquiring the securities at issue.
I could lead several discussion issues: the scope of a right to a claim for damages, the method of calculation of the amount of damages, whether strict liability etc. I have carried out the study on U.S. Securities Act and Japanese Financial Instrument Transaction Act by comparative law review. This article highlights that §125 needs to be widely applicable to acquisitors of postdistribution markets and we need to enact a new the method of calculation of the amount of damages reflecting the characteristic of markets and we need to collect our thoughts of utilization internal control system for interpreting the issuer's negligence.
