자발적 경영자예측공시의 유인과 투자자간 정보비대칭 (Management Forecasts, Voluntary Disclosure Incentives, and Information Asymmetry)

초록

기업의 자발적으로 정보를 공시하게 만드는 유인이 무엇인가 하는 문제에 대해서는 정책입안자들은 물론 연구자들에게 있어서도 꾸준한 관심의 대상이 되어왔다. 그 중에서도 기업지배구조와 같은 정보 환경적 요인이나 재무요인들과 같은 자발적 공시의 결정요인들이 고려되어 왔으며, 또한 자발적 공시로 인하여 정보비대칭이 얼마나 해소되었는지가 주요 관심의 대상이 되고 있다.
본 연구에서는 기업이 정보비대칭 상황과 그로 인해 더 높은 자본비용이 발생하는 것을 인지할 경우, 기업은 자발적으로 정보를 공시하여 정보비대칭 수준을 낮추고, 자본비용을 줄여 기업이 저평가 되는 것을 막고자 하는지 관찰한다. 특히 경영자들에 의해 자발적으로 제공되는 예측 정보가 기업이 사후에 보고하는 실제치에 근접한 정확한 정보일수록 해당 정보를 이용한 정보이용자들 간 판단의 차이는 줄어들며, 합의의 수준은 높아지는지 살펴보았다.
2002년부터 2012년까지 유가증권시장에 상장된 12월 결산법인 대상으로 증권선물거래소 전자공시시스템의 ‘영업실적 등에 관한 전망(공정공시)’에서 경영자이익예측치에 대한 자료들을 수집하여 분석에 사용하였다. 실증분석 결과에 의하면 자본비용을 줄여야 하는 유인이 있는 기업들이 오히려 결산 실제치와 차이가 크게 나타나는 부정확한 예측 정보를 공시하는 것으로 나타났다. 자본비용의 추정을 위해 사용할 수 있는 재무분석가 예측 자료 및 경영자 예측정보를 자발적으로 제공하는 기업들이 한정된 관계로 표본이 특정 기업에 치우쳐 있는(sampling bias) 한계점을 내포하고 있으나, 지금까지 사전적인 정보비용 감수 수준이 자발적 공시에 미치는 영향이나 그로 인한 정보비대칭 효과를 관찰한 연구는 없었다는 점에서 본 연구의 공헌점을 찾을 수 있을 것이다.

영어초록

Voluntary disclosure incentives on firms’ disclosure decisions are one of the main concerns of academic researchers as well as accounting policy makers and professionals. Information environmental matters of firms like corporate governance have been considered as the most important factor with financial incentives for firms’ voluntary disclosure, and the information asymmetry problem has also been a key question on the effects of firms’ voluntary disclosure.
In this study, we investigate if firms with higher ex ante levels of information asymmetry and therefore higher costs of capital are more likely to voluntarily disclose their information to reduce the information costs and not to be undervalued. And furthermore, we observe if there are any significant reductions in the information gap among the investors especially when more precise forecast information on firms’ performances, almost close to their actual values, are voluntarily provided by firms’ managements.
For our empirical study, firms listed in the Korean stock market and whose fiscal year ends fall on December 31 are selected as our sample, and their managements forecasts are manually collected from KIND(Korea Investor’s Network for Disclosure) System, and of “forecast or estimation on business performance(fair disclosure).” Contrary to our expectations, empirical evidences show that firms with an incentive to reduce the cost of capital rather disclose imprecise information: the bigger gap between the management forecasts and actual values on their performances. The main contribution of this study is that we observe the relationships between the ex ante level of cost of capital and voluntary disclosures of firms, and between the precision levels of information voluntarily provided by firms’ managements and the reductions of information asymmetry. But a sample selection bias still comes up due to the limited database of analysts’ forecasts for the estimated cost of capital and firms’ management forecasts.
