ESG 투자와 기관투자자의 수탁자 책임에 관한 연구 (A Study on ESG Investment and Trustee Responsibility of Institutional Investor)

초록

본 논문은 ESG 투자에 관한 기본적인 정보를 정리하고 ESG 투자와 수탁자 책임을 둘러싼 미국과 영국 등의 논의를 분석한 후 국내의 ESG 투자생태계의 발전을 위한 약간의 제언으로서 기관투자자의 수탁자 책임의 정립 방향, ESG 관련 정보의 평가체계 및 정보공시기준의 유효성 확립방안을 제시했다.
최근 환경·사회·지배구조를 투자전략에 접목하는 ESG 투자가 세계적으로 확대되고 있다. 이는 환경파괴나 격차사회의 표면화 등 다양한 문제가 발생하고, 이들을 방치하는 경우 시장 전체의 성장이 저해되어 투자처의 기업가치 훼손을 우려하는 투자자가 증가하는 것을 의미한다. 이러한 ESG 투자는 주로 구미를 중심으로 발전하여 국내에서도 증가하고 있지만, 압도적으로 투자금액은 작은 실정이다. 그 배경의 하나로 구미에서는 SRI 발달 등의 역사적 배경을 들고 있지만, 그 밖에 수탁자 책임의 해석 차이에 기인한다고 생각한다.
현재 국내에는 미국과 영국 등의 경우와 달리 ESG 요소의 고려에 대한 법적인 규정은 없다. 그러나 연금기금을 포함한 기관투자자를 위한 행동 지침인 스튜어드십 코드는 ESG 요소를 포함한 지속 가능한 성장에 관한 과제를 투자과정에 포함하는 것이 유익하다는 관점에서 제반 원칙들이 개정되고 있다. 해외 주요국과 마찬가지로 연금기금 운용에 ESG 요소의 고려를 권장하는 정도가 한층 더 강해지고 있다.
ESG 투자의 세계적인 조류를 고려한다면, 우리나라의 국제적 경쟁력 관점에서도 국내의 기관투자자 및 기업 모두가 ESG 요소 등 비재무 정보에 관한 이해를 한층 더 심화시켜 나가는 것이 중요하다. 또한 연기금 등의 ESG 요소의 고려에 대한 법적인 규정의 명확화와 더불어 ESG 평가체계 및 정보공시기준의 유효성 확보를 통해 ESG 투자 관련 거래나 투자 상품 등이 증가한다면 국내 금융시장의 기능 향상 및 활성화에도 이바지할 것으로 생각된다.

영어초록

This paper summarizes basic information on ESG investment and analyzes discussions in the US and UK regarding ESG investment and trustee responsibility, As some suggestions for the development of the domestic ESG investment ecosystem, A way to establish the trustee responsibility of institutional investors, the evaluation system of ESG-related information and a method to establish the validity of information disclosure standards were proposed.
Recently, ESG investment which incorporates environmental, social, and governance structures into investment strategies is expanding worldwide. This means that various problems such as environmental destruction or the surface of a disparity society, occur and if they are left unattended the growth of the entire market will be hindered increasing the number of investors concerned about damaging the corporate value of the investment destination. Such ESG investment has developed mainly in Europe and America and is increasing in Korea, but the amount of investment is overwhelmingly small. One of the backgrounds is the historical background of SRI development in Europe and America, but I think it is due to differences in the interpretation of trustee responsibility.
Currently, there is no legal regulations on the considering ESG factors in Korea, unlike cases in the United States and the United Kingdom. However the Stewardship Code an action guide for institutional investors including pension funds is being revised from the perspective that it is beneficial to include projects on sustainable growth, including ESG factors in the investment process. As in major foreign countries, the level of recommending the consideration of ESG factors in pension fund management is becoming stronger.
Considering the global trend of ESG investment, it is important for both domestic institutional investors and companies to further deepen their understanding of non-financial information such as ESG factors from the viewpoint of Korea's international competitiveness. In addition to clarifying legal regulations on the consideration of ESG factors such as pension funds, if ESG investment-related transactions and investment products increase through securing the validity of the ESG evaluation system and information disclosure standards, it is expected to contribute to improving and revitalizing the domestic financial market.
