초록

미국법에서는 부동산 개념의 유형이 우리와 다르다. 그래서 우리나라의 기존 논의의 분류로 말하면 주로 영업용 건물에 맞먹는 부동산을 주된 쟁점으로 하는 논의에 머물지 않을 수 없다. 그래서 본고에서는 SNDA의 논란의 중심인 뉴욕 주법과 캘리포니아 주법을 검토 대상으로 한다. SNDA 합의라는 명칭은 Subordination Non-Disturbance and Attornment 합의(agreement)의 머리글자를 딴 약칭이다. 부동산법은 연방법이 성립할 수 없어서 통일되지 않은 개별 주법을 검토 소재로 하지 않을 수 없는 것이다. 부동산 담보권 강제집행 절차와 임대차 계약에서 SNDA 합의가 없는 경우의 법률관계는 SNDA 합의를 검토해야 할 전제로서 담보권자와 임차인 사이에 맺은 사전합의가 존재하지 않는 경우에 대한 검토를 해야 한다.
본고에서 밝히려고 시도하는 것은 이런 경우에 부동산 담보권 실행에서 임대차의 법적 취급이 어떤 것인지 라는 점이다. 말할 필요도 없이 사전합의로서의 SNDA 합의가 이루어지는 것은 여기에 관련된 법적 취급을 전제로 하고 있다. 그런데 이러한 법적 기능을 검토하기 위해서는 전제상황을 알아 둘 필요가 있다. 특히 SNDA 합의의 관계에서는 뉴욕 주와 캘리포니아 주와 같은 특정한 법역의 상이한 상황을 명확히 알아 둘 필요가 있다. 그래야 우리 국민이나 기업들이 미국에서의 거래시에 불측의 손해를 예방할 수 있을 것이다. 본고에서 자세히 검토를 시도하기로 한다.
본고는 SNDA 합의의 법리와 그것이 담당하는 법적 기능의 해명을 목표로 한다. 우선 담보권자의 의사에 의해서 담보권이 실행되었지만 그 후 후순위 임대차가 유지될 경우에 바람직한 법적상태의 설계에 대한 시사점을 도출해야 한다. 구체적으로는 우선 전제로 (광의의) SNDA 합의가 없을 경우 담보권의 실행에서 임차권이 어떤 법적 취급을 받는지 검토한다. 게다가 SNDA 합의의 이론과 그 법적 기능을 검토하여야 한다. 이론에 대해서는 주로 판례를 소재로 현재의 구성에 이르기까지의 전개 과정을 검토해야 한다. 법적 기능에 대해서는 SNDA 합의의 생성을 촉구한 거래 실태에 관한 학설상의 논의를 주된 소재로 삼아야 한다. 마지막으로 우리에게 주는 시사점을 이끌어 내야 한다. 또한 논의의 한계에 대한 검토 및 시사점을 얻을 수 있는 범위에도 한계가 있음을 지적한다.

In American law, the type of real estate concept is different from ours. Therefore, it can not help but to stay in the discussion that the main issue is the real estate which is equivalent to the business building mainly in the classification of the existing discussion of our country. In this article, I examine the New York State and California State laws, which are the center of controversy in SNDA. The SNDA Agreement is the acronym for the Subordination, Non-Disturbance, and Attornment agreement. Real estate law can not be established by federal law, so it can not but be forced to review the unified state law. The legal relationship in the absence of an SNDA agreement in a mandatory enforcement procedure and a lease contract for a real estate mortgage must be reviewed for the absence of prior agreements between the mortgagor and the tenant as a premise to review the SNDA agreement.
A subordination, non-disturbance, and attornment agreement (SNDA) addresses the priority of the rights of tenants and lenders. It deals with how and when the rights of tenants will be subordinate to the rights of lenders or, sometimes at lender’s option, senior to the rights of lenders. The non-disturbance portion assures tenants that their rights to their premises will be preserved (“non-disturbed”) on specified conditions within their control, even if the landlord defaults on its loan and the lender forecloses.
The attornment component of the SNDA agreement provides that the tenant will continue their obligations under the contract in the event that a new landlord takes over the contract and may also specify that the lender or such purchaser will have certain specified rights thereafter. It assures a lender, generally, that the tenant will attorn to (that is, confirm privity of contract by agreeing to continue as tenant of the new landlord) the lender or a purchaser following a foreclosure. An SNDA agreement may also include other provisions for confirming or modifying further rights and obligations.
What I am trying to say in this article is the legal treatment of the lease in real estate lien practice in this case. Needless to say, the SNDA agreement as a preliminary agreement is premised on the legal implications here. However, in order to review these legal functions, it is necessary to understand the preconditions. Particularly in the context of the SNDA agreement, it is necessary to be clear about the different circumstances of certain jurisdictions, such as New York and California. This will allow Koreans and Korean corporations to prevent unscrupulous losses in their transactions in the United States. I will try to review it in detail in this work.
The purpose of this article is to clarify the legal form of the SNDA consensus and the legal functions it is responsible for. First of all, implications for the design of a desirable legal status should be drawn in the event that the foreclosure is executed by the lienor or mortgagor but then the subordinated lease is maintained. Specifically, I firstly examines the legal treatment of the lease right in the execution of the leased property if there is no (in the broad meaning) SNDA agreement. In addition, the theory of the SNDA consensus and its legal functions should be reviewed. As for the theory, I should examine the development process from the precedent to the present structure. Regarding the legal function, the main argument should be the discussion on the actual situation of the transactions that called for the creation of the SNDA agreement. Finally, I must draw some implications for us. In addition, I point out that there are limitations in the scope of the review and implications of the discussion.
