임직원 스톡옵션의 블록행사를 통한 위험의 부분헤징 (Partial Risk Diversification of Employee Stock Options by Block Exercise)

초록

본 연구는 임직원 스톡옵션의 블록행사패턴에 관한 연구로서, 위험회피성향이 영향을 미쳐 나타나는 스톡옵션의 행사패턴 중 하나이다. 블록행사는 스톡옵션을 몇 개의 블록으로 행사함으로써 그것이 내포하는 위험을 처음 행사시 부분헤지를 할 수 있어, 그 이후 수익을 더 올릴 수 있는 행사패턴으로 주장된다.
분석기간은 2000년부터 2006년까지이며, 총 95건의 스톡옵션에 대한 297건의 행사건수(행사날짜 기준)를 대상으로 분석하였다. 분석결과, 부여된 옵션은 평균 4.20번에 걸쳐 매회 27%정도씩 행사되었다. 그리고 블록행사가 된 스톡옵션을 대상으로 처음행사와 그 이후 행사에 영향을 미치는 요인을 살펴본 결과, 처음 행사시 많은 비율이 행사되었으며, 위험회피성향을 나타내는 주가변동성 및 의무보유기간 직후와 같은 요인이 유의하게 나타났다. 그리고 옵션의 실현이익 및 가격경계선은 첫 번째 이후의 블록행사에서 더 높게 나타났지만 한계적이었다. 본 연구는 재무제표에 비용으로 계상하기 위한 스톡옵션의 공정가치평가 시 반영할 수 있는 스톡옵션의 블록행사패턴과 이에 대한 영향 요인을 살펴본 점에 의의가 있다.

영어초록

The exercise of Employee stock options(ESOs) is influenced by employee's risk aversion behavior because they are inalienable. So they exhibit different exercise patterns from standard options. Of those, there is a block exercise patterns that employee would prefer to distribute the exercise of her options over multiple dates rather than exercise all her options at a single date(Huddart and Lang, 1996; Aboody, 1996; Sautner and Weber; 2005). If employee exercises some of his options, she is able to reduce his portfolio risk partially, being capable of seeking the higher returns by exercising his options next time(Grasselli and Henderson, 2009). Given ESOs are exercised partially over the time, the ESO value by many valuation model may be underpriced.
This study analyzes if ESOs are practically block-exercised over the exercisable time and if any different factors influence the first block exercise and the next respectively. This study examined 95 previously-exercised stock options that had been exercised 297 times from year 2000 to year 2006.
The major findings of the study are as follows:First, there were block exercise patterns that ESOs are exercised partially over the multiple dates. As for the first block exercise, 45% were exercised 2.99 years after, and the next were exercised 3.49 years after.
Next, in case of the first block exercise, it is related with the volatility and occurred just after the vesting period, which is implying the risk averse behaviors. But, risk averse behavior didn't influence the next block exercise. So This paper concludes that employee exercises his options partially for the purpose of risk diversification.
Finally, exercise thresholds and realizable valuation of ESOs at exercise date were a little relevant with the sequence of block exercise. This result supports that ESOs can be exercised if the price of the underlying asset is over exercise thresholds.
