베트남 투자법의 사업투자 규제 검토 - 외국인투자와 국내투자에 공통적인 규제를 중심으로 - (Vietnam Investment Laws’ Business Investment Regulation - Focusing on Regulations Equally Applicable to Foreign and Domestic Investments -)

초록

본고는 베트남 투자법상 외국인투자와 국내투자에 공통적으로 적용되는 주요 규제에 관하여 검토하였다. 그 과정에서 2020년 투자법과 2014년 투자법과의 차이를 비교하였다. 2015년 이후 외국인투자 절차의 이원화가 이루어지며 외국인투자와 국내투자 절차가 통합되었다. 내용적 측면에서는 사업투자 조건과 투자정책승인이 외국인투자와 국내투자에 공통적으로 적용된다. 신투자법은 사업투자 조건이 부과되는 조건부 분야를 구투자법상 243개에서 227개로 축소하였다. 특히 프랜차이즈, 물류 등 주요 분야가 조건부 분야에서 폐지된 점은 긍정적으로 평가된다. 그러나 여전히 많은 분야에서 사업투자 규제가 이루어지고 있으며, 외국투자가에게는 다수의 법령에 산재하여 있는 분야별 조건의 확인이 쉽지 않다. 이에 따라 국가기업포털의 영어 버전을 정비하여 분야별 해당 조건을 완전히 등재할 필요가 있다. 한편 투자정책승인은 투자등록을 위한 사전 조건이며 국회, 정부수상, 그리고 성급 인민위원회에 의하여 이루어진다. 투자정책승인 대상은 주로 환경, 국방, 거주 등 특정 주제와 연관되어 그 범위가 제한적이다. 다만 투자정책의 승인 여부 및 소요 기간을 예측하기는 쉽지 않다. 특히 관련 심사 과정에서 실무적으로 외국투자가에 대한 차별이 이루어지거나, 법정기한이 지켜지지 않을 가능성을 배제할 수 없다. 투자정책승인의 공정성과 효율성을 제고하기 위하여 보다 구체적이고 투명한 심사절차의 도입이 필요하다. 본고가 우리 투자가의 베트남 진출과 사업투자 활동에 기여하기를 바라며, 향후 베트남이 경제발전에 발맞추어 사업투자 규제를 지속적으로 완화하기를 기대한다.

영어초록

This paper reviews the business investment regulations which are equally applicable to foreign and domestic investments under the 2020 Investment Law of Vietnam (“New Investment Law”). In that course, it also explores the differences between the New Investment Law and the 2014 Investment Law of Vietnam (“Old Investment Law”). As for the procedure, the foreign and domestic investment procedures have been unified since 2015 as the foreign investment procedure has been divided into two steps, one for investment registration and the other for enterprise registration. On the other hand, regarding the contents, business investment conditions and investment policy decisions are equally applicable to foreign and domestic investments. The New Investment Law reduced the number of conditional business investment sectors from 243 to 227 where the business investment conditions apply. In particular, it is noteworthy that franchise and distribution were repealed from the conditional business sectors. However, business investment conditions still apply to an excessive number of business sectors, and it is not easy for foreign investors to be aware of them as they are scattered in many laws and regulations. Under these circumstances, the English version of the national portal for enterprise registration needs to be upgraded to include the business investment conditions completely. The investment policy decision is a pre-condition for investment registration, and is made by high-level government authorities such as the Natioal Assembly, Prime Minister, and provincial People’s Committee. The investment projects under the investment policy decision are usually relevant to matters affecting the environment, national security, or residence. The scope of the investment policy decision is not excessively large since it is limited to such specific subjects. However, it is difficult to predict its result and timeline. In particular, discrimination against foreign investors may take place in the investment policy decision review process. To enhance the fairness and efficiency of the investment policy decisions, a more specific and clear review process needs to be introduced. This paper aims to help foreign investors who plan to carry out business investment in new business sectors in Vietnam. It is hoped that Vietnam will further reduce business investment regulations.
