조회공시의 현황, 의미 및 주가반응 (The Empirical Study of Inquired Disclosure and Price Reaction)

초록

본 연구는 조회공시요구에 대한 기업의 공시행태, 좋은/나쁜정보에 대한 시장의 사전적인 반응이 나타나는지를 실증분석 한다. 또한 조회공시요구에 대한 답변 내용을 세부적으로 구분하여 이에 대한 시장의 차별적인 반응이 나타나는지를 실증분석 한다.
실증분석 결과 좋은/나쁜 정보에 따른 공시지연정도는 차이가 없는 것으로 나타났다. 또한 조회공시 요구시점과 정보가 추후 확인되는 시점에서의 확정/부인 되었는지 여부에 따라 좋은/나쁜 정보별 누적추가수익률의 추이를 분석한 결과 좋은 정보에 대해서는 조회공시요구일 이전에 급등하다가 요구일 이후 지속적으로 하락하는데 비해 나쁜 정보의 경우 뚜렷한 반응을 보이지 않다가 +1일부터 +3일까지 하락하는 것으로 나타났다. 확인시점의 경우 당일 또는 익일에 확정된 표본의 경우 좋은 정보 나쁜 정보에서 전반적으로 예상과 일치하는 유의적인 상관관계를 보였다. 그러나 이에 비해 당일 또는 익일 이후에 확정된 표본의 경우, 예상과 반대의 결과를 보이거나 뚜렷한 주가반응이 나타나지 않았다. 이는 확인시점이 당일 또는 익일 이후로 길어질 경우 시장의 투자자들은 관심을 지속하고 있지 않아 뚜렷한 주가반응을 보이지 않는 것으로 생각된다. 더불어 조회공시요구에 대한 확인시점 전후의 주식수익률의 변동성을 분석한 결과 주식수익률의 변동성이 조회공시요구 전후에 변동이 없었다.
본 연구는 조회공시와 관련되어 제도의 시행에 대한 체계적인 연구가 수행되지 않았기 때문에 조회공시가 시장에서 어떻게 인식되는지를 검토하는 첫 연구라는 점에서 의의가 있다.

영어초록

Inquired disclosure is a system operated by Korean Stock Exchange(KSE) to confirm the information related with rumors, news, and substantial fluctuation. Inquired disclosure is one type of timely disclosure, however, it is different from other timely disclosures since KSE inquires information and the firm confirms it, whereas company itself mandatorily or voluntarily releases information in case of other types of timely disclosure.
Recently, stock prices fluctuate a lot following the rumors as more investors are becoming short-term investors. This is due to an information asymmetry between the firm and the investors, and an institutional system to resolve this type of problem should be well established. Below major findings are reported. First, no difference is found in the delay of timely disclosure related to good/bad nature of the news. Second, cumulative abnormal return on the day of inquiry shows that stock market reacts positively prior to good news inquiry and reacts negatively subsequent to inquiry consistently. Market responds positively to good news rumor, but unconfirmed response makes realization uncertain. On the contrary, any sub- stantial change is not found in case of bad news inquiry on the date of inquiry and a decrease of stock price is reported on +1 through +3 day subsequent to inquiry. Since then, noticeable change is found. Third, we classify disclosure into good/bad news depending on the acceptance/rejection of the future confirmation. For the inquired disclosure confirmed on the day of inquiry or on the following day, it shows an expected and significant reaction to good/bad news. However, the inquired dis- closure confirmed afterwards shows either unexpected results or expected but insignificant results. This outcome is due to the fact that the market does not pay a consistent attention to the confirmation.
We hope that further research will be conducted in order to enhance our under- standing of inquired disclosure. There are unanswered questions raised in this study which have a policy implication. We expect that the evidence of this study conveys interesting implication to practitioners and policy makers.
