최대주주지분율에 따른 이익의 정보유용성 차이 (Differential Earnings Informativeness according to the Largest Shareholder's Ownership)

초록

본 연구는 최대주주지분율과 이익의 정보효과 사이의 관계를 실증적으로 검증하였다. 최대주주지분율과 기업가치 및 이익의 정보유용성 간의 관계를 검증한 선행연구 결과에 따르면, 최대주주지분율의 수준에 따라 이익의 정보효과는 차별적으로 나타나게 될 것이다. 최대주주지분율이 낮은 구간에서는 최대주주와 소액주주 간의 이해관계가 일치할 것이나, 최대주주의 지분율이 특정 수준을 넘어서면 최대주주는 소액주주의 이익을 침해하려는 현상이 나타나게 될 것이다. 이와 같이 본 연구의 목적은 최대주주지분율의 구간에 따라 이익의 정보효과가 나르게 나타나는지를 분석하고자 하였다.
분석결과, 첫째, 본 연구에서 전체적으로 최대주주지분율이 높아질수록 이익의 정보유용성이 증가하는 것으로 나타났다. 그러나 구간별로 이익의 정보유용성이 다르게 나타났다. 둘째, 격자탐색기법으로 찾은 3구간 모형(채택모형)의 설명력은 구간을 나누지 않은 모형(비교모형1)과 중위수로 2구간으로 나눈 모형(비교모형2)에 비해서는 높게 나타났으나, 3분위수로 구간을 나눈 모형(모형3)에 비해서는 낮게 나타났다.
본 연구의 결과는 최대주주지분율의 변화에 따라 구간별로 이익의 정보유용성이 다르다는 것을 보여 주고 있다. 따라서 향후 이익의 정보효과에 관한 연구에 있어서 지분율의 수준에 따라 이들의 관계가 달라질 수 있다는 점을 고려하여야 한다는 점을 시사한다.

영어초록

This study investigates the relations between the largest shareholders' ownership and earnings informativeness. Different relations are expected as economic factors work in different manner according to the level of share ownership. That is, earnings informativeness is expected to enhance as the largest shareholders' ownership grows. On the low level of the largest shareholders' ownership, the agency problems between the largest shareholders and minority's are not serious. Thus, managers put all the efforts to maximize the corporate value to avoid the market pressure. This is called "convergence of interest" hypothesis. But, if the largest shareholders' ownership goes beyond a certain level the largest shareholder seeks his interest in the expense of minority shareholders' wealth rather than cope with the market pressure.
If the largest shareholders' ownership goes beyond the level, his interest is aligned with other shareholders as the largest shareholders' cash－flow gets more important. Consequently, the correlation between largest shareholders' ownership and earnings informativeness is expected to become strong again.
To briefly summarize the result of this thesis, firstly, the earnings informativeness improves as the largest shareholders' ownership increases but it depends on the level of largest shareholders' ownership. In the 1st section (less than 29% of the largest shareholders' ownership) earnings informativeness is weak, in the 2nd (from 29% to 39% of the largest shareholders' ownership) strong earnings informativeness is seen, and the 3rd section(more than 40% of the largest shareholders' ownership) shows the weak earnings informativeness again.
The thesis contributes to the literature on the relationship between ownership and earnings informativeness in that it proves that they do not have monotonic relations.
