유사투자자문업 규제 개선방안 연구 (A Study on the Regulatory Improvement for the Quasi-Investment Advisors)

초록

리딩방 등 유사투자자문업은 우리나라에서만 관찰되는 독특한 제도이자 현상이다. 최근 그 위험성이 매우 커지고 있는데도 현행 ‘자본시장과 금융투자업에 관한 법률’(이하 “자본시장법”이라고 함)은 신고제라는 약한 규제를 채택하고 있어서 투자자 보호와 건전한 시장질서 확립에 어려움이 있다. 이 논문은 현재 유사투자자문업으로 일컬어지는 많은 영업 행위가 법령이 상정한 범위를 벗어나 사실상 공식 투자자문업에 가까운 불법적 행위라는 점을 밝히고 이에 대한 규제를 원칙적으로 공식 투자자문업과 같은 등록제로 전환할 것을 주장한다. 다만 개인투자자에 대한 투자조언 제공이라는 최소한의 긍정적 기능도 고려하여 유사투자자문업도 존치시키되 신고제 유사투자자문업자는 법령이 상정한 원래의 영업 행위를 하도록 이원화된 규제 체계를 제안한다.
유사투자자문업을 위한 등록제의 내용으로 주장하는 것은 다음과 같다. 1. 영업 명칭을 공식 투자자문업과 구별하기 위하여 ‘투자정보업’ 내지 ‘투자정보제공업’으로 한다. 2. 투자정보제공업의 영업 단위는 현재의 투자자문업 내에 신규 하위 업무 단위를 신설하고 투자대상자산을 증권으로 제한한다. 3. 최저자기자본은 적어도 1억 원 이상으로 한다. 4. 등록 요건으로서 투자상담사 등 전문자격과 증권 관련 업무경력 등 일정한 자격요건 및 대주주와 임원의 결격 요건을 둔다. 5. 이해상충 방지를 위한 선관의무 및 충실의무를 기본 원칙으로 설정하고, 제98조 외에 계약의 공정성을 위한 법 제97조도 준용하되, 금융소비자보호법상 고객보호의무(적합성 원칙과 설명의무 등)는 적용을 유예한다.

영어초록

The Quasi-investment advisory business such as ‘leading room’ is a unique system and phenomenon observed only in Korea. Despite the growing risk recently, the current Capital Market Act(FSCMA) adopts a soft regulation called a reporting system, making it difficult to protect investors and establish a sound market order. This article clarifies that many of the business activities currently referred to as the quasi-investment advisory business are illegal activities and, in fact, close to the official investment advisory business outside the scope of the law and regulation. Therefore the paper in principle insists that the regulation on this be converted into a registration system as the official investment advisory business does. However, considering the minimum positive function of providing investment advice to individual investors, it proposes a dualized regulatory system in which the quasi-investment advisory business may be maintained under the reporting system and provides the originally expected business activities stipulated by the Act.
The contents of the registration system for quasi-investment advisory business are as follows: 1. The business name shall be “Investment information business” or “Investment information providing business” to distinguish it from the official investment advisory business. 2. As for the business unit of the ‘Investment information providing business’, a new subordinate business unit is established within the current investment advisory business, and investment target assets are limited to securities only. 3. The minimum equity capital should be at least 100 million won. 4. As registration requirements, professional qualifications such as investment counselors and some experiences in securities market, and disqualification requirements for major shareholders and executives shall be established. 5. Fiduciary duties(duty of care and duty of loyalty) are required as basic principles to avoid conflicts of interest; and in addition to Section 98, Section 97 of the Act for the fairness of contracts shall apply mutatis mutandis to the ‘Investment information providing business’; and the application of the principal common duties of customer protection (appropriateness test and duty of explanation) shall be deferred.
