초록

A credit-purchasing business or factoring is a financial service business in which a factor gets transferred sale credits of a manufacturer, merchant or service provider (client) and then collects the credits from the customer (the purchaser). The Korean Commerce Law added two articles concerning factoring under Chapter 14 of Part 2 in the 2001 revised commercial law, but it was insufficient to prevent various legal disputes which can occur in factoring transactions to activate factoring as a method of providing capitals to companies.
Like this, there exist no specific legal regulations concerning factoring, this study looked into the stipulations of the commercial law which need improvement in consideration of concerned foreign laws. First, the counteraction requirement against the sale credit transfer should be simplified. Second, the requirement for validating future credit transfers should be sufficient only if there exists “a specific possibility”, and when future credits occur, individual credit transfers should be necessary only if there exists an evident intention of the related party. Third, if the credit transfer prohibition special regulation is permitted, it can give a great burden to the purchase of the credit and hinder the transaction of factoring thereby, there needs a stipulation which limits the validity of the credit transfer prohibition special regulation. Fourth, the notification system through the registration of a credit transfer is very important to the utilization of the economic pure function of a credit and can prevent a risk of a double transfer from the transferee. Therefore, it is necessary to activate factoring transactions by incorporating a system of registering pure credit transfers in the scope of “the Act on Security of Movable Properties, etc.” Fifth, it is necessary to incorporate in the Korean Commercial Law the stipulation of the opposition protection right of the creditor (customer) as stipulated under various international conventions. Namely, the creditor can claim all of his oppositions against the transferee so that the opposition rights of the creditor can be guaranteed. The credit purchase business is normally operated as a financial system for small- and medium-sized businesses due to its usefulness around the world, and the size of the transactions is rapidly growing. Hence, it is necessary to arrange the legal system to support factoring transactions sufficiently for the sake of nurturing small- and medium-sized businesses.
