초록

국제물품매매계약에 관한 UN협약 제69조는 운송을 포함하지 않는 물품매매의 위험이전 시기에 대해 규정하고 있다. 본 연구는 제69조의 위험이전 시기와 본조에서 규정하고 있지 않은 쟁점 예를 들면, 매수인의 수령지체 이외 다른 계약위반의 제1항의 적용 문제, 물품을 매수인의 처분하에 놓는 경우 매도인의 통지 여부, 매수인 인식 방법, 벌크화물의 특정 등을 명확히 하여 규정 해석에 대한 기준을 제시한다. 또한 제69조가 적용된 사례분석을 통해 실무적용상 유의점도 제시하고 있다. 이를 통해 위험이전과 관련된 분쟁을 사전에 예방하고 실무자들의 제69조에 대한 이해 증진을 통해 계약의 안정성에 도움을 주는데 연구의 목적을 둔다.

영어초록

The purpose of this study is to present practical considerations in analyzing the relevant cases of Article 69 with legal studies on the time of passing of risk of Article 69 CISG. Article 69 deals with the time of passing of risk where the seller in not required to send the goods to the buyer. First of all, this study examines the major issues relating to the time of passing of risk in Article 69. For example, the question of application of Article 69(1) concerning other breaches other than the failure to take delivery by the buyer, the seller’s notification question in order for the goods to be at the buyer’s disposal, the question of identification of the bulk cargo, etc. And then, I analyze the cases where Article 69 was applied and also present practical considerations. Some of the results are summarized as follows: First, the taking over the goods may be performed by the buyer, or its staff or a carrier instructed by the buyer. The rule for the passing of risk apply equally whether the goods are to be taken over by buyer or representatives of the buyer. Therefore, the risk passes to the buyer when it was agreed that the goods were to be taken over by the buyer. Second, if the parties have agreed that the seller must load the goods on to the buyer’s carrier, the goods are placed at buyer’s disposal when the loading is completed. If loss or damage to the goods occurs during the loading process, it is borne by the seller. Third, the party who claims to pass of risk has the burden of establishing the passing of risk. if the seller claims to have the right to payment because the risk passed from him to the buyer, he has to prove that pass. Fourth, if the risk is passed in accordance with the rule, the seller shall not be held liable for events that occur after the risk has passed.
