상법 제2편 상행위편 운송규정과 제5편 해상편 개정안에 대한 연구 (Proposal for the Revision of Transport Rules in the Commercial Activities Chapter II and Maritime Chapter V under the Commercial Code)

초록

우리 상법 해상편은 1991년과 2007년 개정되었다. 15년이 지난 지금 제5편 해상편에서 개정되어야하는 내용을 정리한다. 2017년 일본 상법은 상행위편의 운송을 총칙으로 하면서 운송전반에 걸쳐 공통적으로 적용될 사항을 규정한다. 이를 반영하여 해상운송법이 육상운송에도 적용될 수 있는 것은 일치시킬 필요가 있다. 상법 상행위편에서 운송규정은 불법행위를 청구원인으로 해도 적용되는 것으로 한다. 항만에서의 운송은 해상운송으로 규정한다. 독립계약자들도 육상 운송인이 누리는 각종 보호를 받도록 한다. 개품운송인들에게 필수적인 컨테이너를 상법의 물적 설비의 하나로 규정하고 등록제도를 도입하여 동산저당이 가능하게 한다. 또한 컨테이너 제공의무자, 반납의무자, 지체료에 대한 규정을 두어 법적 안정성을 가져오고자한다. 독립계약자도 보호하는 상법 규정을 둔다. 서렌더 선하증권은 계속하여 문제가 생기므로 해결책을 제시해야한다. 선장은 선박소유자의 임의 대리인지지만 그의 대리권의 범위는 법정되어있다. 통신수단의 발달에 따라 선적항 내에서는 법정된 범위의 대리권을 허용할 필요성이 떨어진다. 삭제한다. 창고업자와 하역업자와 같은 독립계약자도 히말라야 조항의 보호를 받도록 하는 것이 국제적인 흐름이라서 이를 반영한다. 정기용선계약에서 임의규정을 두어 도선료의 지급, 연료유의 공급은 정기용선자가 부단하는 비용으로 분쟁이 없도록 한다. 대법원 판결을 반영하여 정기용선자가 발생시킨 도선료와 예선료도 선박우선특권이 발생하는 것으로 규정화한다. 서렌더 선하증권의 판례를 반영하여 전혀 원본이 발행되지않은 경우 이면약관의 내용은 운송인과 소지인 사이에 적용되지않는 것으로 임의규정화 했다. 복합운송은 우리 상법은 해상운송이 반드시 포함된 것만 제816조의 적용대상인데, 상행위편에 대폭규정화되기를 바란다. 종합물류계약에 대해서도 해상편에서 제816조와 같이 각 구간별로 적용될 법률을 지정하는 방식의 입법을 제안했다. 새롭게 만들어지는 전자선하증권, 자율운항선박, 탈탄소에 대한 제도의 도입도 필요하다. 현행 전자선하증권에 관한 규정은 국제동향에 맞지않기 때문에 반드시 등록기관에 등록하지 않아도 되도록 개정한다. 자율운항선박은 3단계를 반영하여 육상의 원격조정자가 선장과 같은 지위에 있다고 규정하여 그를 선박소유자의 피용자로 하고 운송인의 이행보조자로 간주하여 법률관계를 처리한다. 탈탄소와 관련하여 추진용 연료는 정기용선자가 공급하는 것으로 임의규정을 둔다.

영어초록

The maritime section of Korean Commercial Code was revised in 1991 and 2007. Fifteen years have passed since it was last revised, and it is now time to summarize the contents that need to be revised in Chapter 5, the Maritime Section. In 2017, Japan's Commercial Code stipulated matters that commonly apply to all transportation in the General Provisions while integrating transportation regulations into the Commercial Code. Reflecting this trend, it is necessary to align maritime transport laws to be applicable to land transport as well. In the legal relations over commercial activities in Chapter II of the Commercial Code, transportation rules should be applied even if theclaim is based on tort. Transportation at ports should be defined as maritime transport. Independent contractors are also to receive various protections enjoyed by land transport operators. Containers essential for the carriage of individual goods are to be defined as one of the physical facilities in the Commercial Code, and a registration system is to be introduced to allow chattel mortgages. Additionally, regulations on container providers, returners, and detention charges are to be established to ensure legal stability. Independent contractors should be protected under the Commercial Code. Since surrender bills of lading continuously cause problems, a solution must be provided. The master acts as a designated agent of the shipowner, but the scope of his agency is legally defined. Due to advancements in communication means, the necessity for allowing agency to the master within the legally defined scope at the loading port is diminished and should be removed. It is also an international trend to protect independent contractors, such as warehouse operators and stevedores, under the Himalaya clause, which should be reflected in the Commercial Code. In time charter contracts, default provisions should be established to make it certain that the time charterer is the person to pay pilotage fees and the supply of fuel costs, thereby preventing disputes. Reflecting Supreme Court rulings, pilotage and towage fees incurred by the time charterer should also be regulated to create maritime liens. In line with case law on surrender bills of lading, it is needed tostipulate that if no original bill is issued, the content of back clauses does not apply between the carrier and the holder. For multimodal transport, Commercial Code currently applies Article 816 only when maritime transport is necessarily included, but it should be broadly regulated under the Chapter II. For comprehensive logistics contracts, it is proposed to legislate a method of designating the applicable law for each segment, similar to Article 816 in the maritime section. New systems for electronic bills of lading, autonomous ships, and decarbonization need to be introduced. The current regulations on electronic bills of lading do not align with international trends and should be amended to add another method in addition to the current mandatory registration with a registration agency. For autonomous ships, reflecting the third stages, it should be stipulated that the remote controller at shore holds a status equivalent to the master on board, is an employee of the shipowner, and is considered as an agent or servant of the carrier. Concerning decarbonization, it should be optionally regulated that the time charterer supplies the propulsion fuel.
