초록

복수의결권주식은 하나의 주식에 대하여 복수의 의결권을 인정하는 주식이다. 여러 나라에서 회사 창업주가 적은 자본으로 안정적인 경영권을 확보하기 위한 목적으로 활용되고 있다. 복수의결권주식을 활용하고 있는 대표적인 기업으로 구글의 모회사인 알파벳과 페이스북, 중국의 알리바마가 있으며, 최근 쿠팡의 모회사가 복수의결권주식을 이용하여 뉴욕증권거래소에 상장하면서 국내에서 논란이 되었다.
2020년 말 정부는 벤처기업의 창업과 성장을 촉진하기 위하여 복수의결권주식의 도입을 내용으로 하는 벤처기업법 개정안을 국회에 제출하였다. 정부의 개정안은 1주당 최대 10개의 의결권을 보유하는 복수의결권주식을 최대 10년의 존속기간을 정하여 발행할 수 있도록 하였으며, 이를 위해서는 발행주식총수의 4분의 3 이상의 동의를 얻도록 하였다. 또한 복수의결권주식의 남용을 방지하기 위하여 창업주가 주식을 양도하거나 상속하면 보통주로 전환하는 등의 보완조치도 갖추었다.
학계에서는 오래 전부터 복수의결권주식의 효용성에 주목하여, 상법에 도입하는 문제에 대하여 심도있게 논의를 진행하였으며, 많은 견해가 찬성하고 있다. 반면에 시민단체를 중심으로 복수의결권주식이 대기업집단의 경영권 승계에 악용될 수 있다는 점을 들어 강력하게 반대하고 있는 상황이다.
이번 개정안은 시민단체의 의견을 적극 반영하면서 복수의결권주식을 도입하고 있는 것이 특징이다. 도입의 취지와 여러 보완대책을 내용을 살펴보았을 때 충분히 입법의 취지에 공감할 수 있다. 그렇지만 개정의 내용 중 다소 과한 규제를 담고 있는 내용과 상법과의 관계에서 불명확한 부분이 남아 있기 때문에 좀 더 면밀한 검토를 거친 후에 입법하는 것이 바람직하다고 본다. 그리고 복수의결권주식의 도입으로 벤처기업이 기업 현장에서 겪고 있는 다른 문제까지 해결되는 것은 아니기 때문에 중소 벤처기업의 창업과 성장을 위한 법적 제도적 보완책이 지속적으로 나와야 할 것이다.

영어초록

Multiple voting stocks are stocks that allow multiple voting rights for a single stock. In many countries, it is being used for the purpose of securing stable management rights with a small amount of capital by company founders. Alphabet, the parent company of Google, Facebook, and Alibaba of China are representative companies that use multiple voting shares. Recently, when Coupang's parent company was listed on the New York Stock Exchange using multiple voting shares, it became controversial in Korea.
At the end of 2020, the government submitted an amendment to the Act on Special Measures for the Promotion of Venture Businesses (the Venture Business Act) to the National Assembly to introduce multiple voting stocks to promote the start-up and growth of venture businesses. The government's amendment made it possible to issue multiple voting stocks with a maximum of 10 voting rights per share with a maximum duration of 10 years. In order to issue multiple voting shares, the consent of at least three-fourths of the total number of issued shares was required. In addition, in order to prevent the abuse of multiple voting stocks, supplementary measures such as conversion to common stocks when the founder transfers or inherits stocks are also in place.
The commercial law academia has long paid attention to the utility of multiple voting stocks, and has conducted an in-depth discussion on the issue of introducing it into the commercial law, and many opinions are in favor. On the other hand, civic groups are strongly opposed to the fact that multiple voting stocks can be abused for succession of management rights to large corporations.
This amendment is characterized by the introduction of multiple voting shares while actively reflecting the opinions of civic groups. When I examine the purpose of the introduction and the contents of various supplementary measures, I can fully sympathize with the purpose of the legislation. However, it is desirable to enact the legislation after a more in-depth review because some of the amendments contain some excessive regulation and unclear parts remain in relation to the Commercial Act. In addition, since the introduction of multiple voting stocks does not solve other problems that venture businesses are experiencing in the field, legal and institutional supplementary measures for the start-up and growth of small and medium-sized venture companies should continue to emerge.
