초록

2016년 7월 1일 공식적으로 채택된 담보 거래에 관한 UNCITRAL Model Law는 유엔의 권위와 정당성의 배경을 고려하여 현재 담보 분야에서 가장 의미있는 국제 표준으로 평가된다. UNCITRAL 제6작업 그룹은 2002년 이래 담보거래 분야에서 현대화된 국제적인 통합규범 구축하기위한 작업을 진행하여 왔다. 담보거래에 관한 UNCITRAL 입법지침(2007) 및 UNCITRAL 담보권 등기 제도 시행에 관한 지침(2013)을 토대로 한 담보거래 모델법은 과거의 규범들을 종합하여 만든 가장 최근의 성과물이다.
모델법은 지급 증권, 직접 보유증권, 채권 및 지식재산권을 포함한 다양한 유형의 유동 자산의 담보에 관한 107개의 조항으로 구성되어 있다. 모델법은 담보권의 성립 및 대항력과 같은 실체법적 문제뿐만 아니라 담보권의 실행, 법의 충돌 및 전환과 같은 절차법적 문제를 다루고 있다.
한국의 동산 및 채권 등의 담보에 관한 법률은 2011 년 담보등기로 공시되는 동산 및 채권에 관한 새로운 담보물권을 도입했다. UNCITRAL 담보권 입법지침이 위 법안의 성안 과정에서 중요한 참고자료 중 하나로 기능했으며 담보거래모델법은 한국의 담보거래의 현재 상태가 현대화되었는지 여부와 그 개선 방안을 찾기 위한 계기를 제공한다.
이 논문은 담보거래모델법의 배경과 주요 내용을 간략히 소개하고 모델법에 비추어 한국의 동산⋅채권담보권의 현황을 분석하고 평가하면서 개선안을 모색하여 개정안을 제시하고자 한다.

영어초록

UNCITRAL Model Law on Secured Transactions, which was officially adopted on July 1. 2016, is evaluated as the most meaningful international norm in the security field at present, considering the background of the UN's authority and legitimacy.
UNCITRAL Working Group VI has proceeded its work toward establishing a modern international and unified instrument in the field of secured transaction since 2002. Along with several texts including UNCITRAL Legislative Guide on Secured Transactions (2007) and UNCITRAL Guide on the Implementation of a Secured Right Registry (2013), the Model Law is the comprehensive and the most recent achievement by embracing past products in pursuit of harmonizing law in the realm of secured transaction. The Model Law is composed of 107 articles on various types of movable assets including negotiable instruments, non-intermediated securities, receivables, and intellectual property. The Model Law deals not only with substantive legal issues such as creation and effectuation of security right but also with procedural legal issues such as enforcement of security right, conflict of laws and transition. The Korean Act on Security over Movable Property, Receivables, etc. (hereinafter the “Act”) established a new security interest over movable property and receivables equipped with security registration on 2011. UNCITRAL Legislative Guide functioned as one of the significant sources of reference in the making of this act and the Model Law presents another momentum to evaluate whether and how Korean current state of the secured transaction regime is modernized and to find room for its improvement.
This article introduces briefly the background and the main content of the Model Law, and draws implication on Korean security right regime, and proposes amendments to improve the Korean security over Movable Property and Receivables system.
