민법개정안 제357조의2에 관한 고찰 (A study on the 2nd of section 357 of Amendments of Korean Civil Code)

초록

장래의 증감․변동하는 불특정의 채권을 담보하기 위해서 근저당권이 설정될 수도 있고, 확정되지 아니한 특정채무를 담보하기 위해 근저당권이 설정될 수도 있다. 채무불특정설이나 채무액불확정설 어느 설에 의하더라도 일단 설정된 근저당권의 효력에 있어서는 차이가 없다. 이 양설의 구별실익은 근저당권이 확정된 시점에서 결론이 달라진다. 근저당권의 확정에 관해 채무불특정설에 따르면 불특정채권이 특정된 경우 저당권으로 전환하게 되면 채권은 특정되었으나 원본이 불확정인 근저당권의 이전은 불가능하게 한 등기예규 제880호의 내용과 어긋나게 된다. 결국 근저당권의 성립단계에서의 보통 저당권과 근저당권의 구별의 기준은 채권의 불특정 여부가 아닌 원본의 불확정 여부에 있다고 할 수 있다.
또한 근저당권이 계속적인 거래관계가 예상되는 계약에서 나오는 채권만을 담보하기 위해 설정되는 것은 아니고, 경우에 따라서는 현재의 채권만을 담보하기 위해 설정되기도 한다. 우리 민법은 근저당권을 불특정의 채권만을 담보하기 위한 것이라고 규정하고 있지 않고, 판례 역시 특정채권만을 담보하기 위해 근저당권을 설정한 경우 근저당권으로서 효력이 없다고 하지는 않으므로, 이러한 경우 등기내용대로 근저당권에 해당하나 다른 채무를 담보하지 않는다는 것으로 보아도 충분할 것이다.


포괄근저당거래에도 기본계약이 존재하는 것이므로, 포괄근저당에도 부종성의 원칙은 적용된다. 다만, 포괄근저당의 경우, 현재 존재하는 기본계약의 범위와 포괄근저당권리자의 목적물에 대한 지배의 범위는 불일치하고 있는데, 이러한 이유로 포괄근저당설정 당사자가 합의하여 양자의 일치를 장래에 유보한 것으로 풀이된다. 이와 같이 단순히 법조문으로 다룰 수 없는 현실적인 부분은 포괄근저당권자와 설정자 사이의 의사해석을 통해 해결될 수 있으며 이는 피담보채권범위결정의 문제이기도 한다. 판례는 앞서 기술한 예문해석 이외에 개별약정우선의 원칙을 통해 피담보채권의 범위를 합리적으로 제한하고 있다. 이는 예문해석에 대한 약점을 극복하기 위해 약관규제법의 제정에 영향을 받아 등장한 규제방법으로 보인다.

Now Collateral security is most widely used in the real right granted by way of security. So this use or conflict is showed in many various ways.
Korean Civil Code has been announced earlier than Japanese but there is only one provision and there is not only symbolic role as being supplemented and developed by the theories and precedents.
For this reason, we have depended primarily on the system and the standard practices of Japan in the real life or the field of financial transactions. And it is fact that we have studied the Collateral security system of Japanese Civil Code as the Civil Code revisions.
But there is a difference between acceptance this independently and dependance on the law system or business practice of any particular country.
Collateral security provisions of Amendments of Korean Civil Code which has been announced are different from the first discussion. Almost Korean provisions are very similar to Japanese as though the rendering .
One cannot deny that the study Japanese law system is efficient because Korean collateral security is different from other countries except of Japan in many ways.
But what transplanting Japanese Civil Code in 1997 to 2000’s is behind the times as well as not fit in the modern society.
It is the same way that one persists the old clothes but he is growing.
Now Japanese Civil Code has been revised partially in August 2003.
In Japan, it is criticized by itself because the law system has been more 30 years old. And for the period, the needs has been reflected institutionally.
In the Amendment Civil Code for now , the situation of the 1971 has been reflected but there is still some question how much the real condition has been reflected for the operation period.
Also the Security Law was revised generally in France in 2006.
Above this , the Mortgage loan in western countries or Chinese Law System which the law of reality has been introduced into are the law system in the countries that maintaining close tied to Korea. Korea should study their law system. The legislation is the same as referred to the education is a long-range project. Specially, the revision of the Civil Code which regulates the normal life needs time to consider as the legislation having the distinctive independence.
