초록

주주총회는 소유와 경영이 분리된 기업지배구조 하에 주주가 회사의 경영에 관여하는 유일한 통로이다. 따라서 주주의 총의를 모으고 결정하기 위한 소통의 장인 회의체로 운영되면서 회사의 의사를 결정하고 경영자를 통제하기 위한 연결체로 기능해야 한다. 그러나 주주총회 소집지와 개최일의 집중 문제로 주주의 참석에 제한이 발생하고, 주주는 주식을 쉽게 매매하는 등 주주총회에 대한 무관심으로 적극적인 참여가 이루어지지 않고 있다.
‘전자주주총회 제도’는 주주총회 개회 후 심의 및 의결을 거쳐 폐회하는 모든 과정을 온라인으로 진행할 수 있어 주주는 시간과 공간으로부터 비교적 자유로운 상태에서 주주총회 참석이 가능하게 되어 접근성과 의사표시 전달의 기회가 확대되고, 회사는 효율적인 주주총회 운영이 가능하게 된다. 주주총회에 대한 온라인 기술의 적용은 소집통지의 전자화(상법 제363조 제1항)와 그 특례규정으로 상장회사의 경우 발행주식총수 1%이하 소유 주주에게는 전자공고로 소집통지를 갈음할 수 있다는 규정(상법 제542조의4 제1항, 동법 시행령 제31조 제1항)과 전자투표제도(상법 제368조의4 제1항)로 반영되면서 소집절차와 사전의결권행사만을 전자화 하는데 그쳤다. ‘전자주주총회’는 주주와 경영진 간에 상호 대화를 거쳐 원격으로 실시간 의결권 행사를 가능하게 제도라는 점이 기존의 ‘주주총회 소집 및 사전 의결권 행사 전자화’에서 나아가 주주총회의 회의체성을 보존하고 의사결정기관으로서의 역할을 달성할 수 있게 한다.
‘전자주주총회’는 개최 방식과 주주의 권리보장여부에 따라 ‘하이브리드 중계형 전자주주총회’, ‘하이브리드 출석형 전자주주총회’와 ‘현장대체형 전자주주총회’로 구분할 수 있으나, 주주총회 의사운영 및 실시간 의결권 행사 전자화의 궁극적 목표는 ‘현장대체형 전자주주총회’의 도입이다.
현장주주총회를 온라인상 그대로 반영하여 개최하는 ‘현장대체형 전자주주총회’의 특성을 고려하여 온라인상 실시간 의결권 행사를 위해 필요한 현행 상법상 소집지 규정의 수정보완과 출석의제 규정의 마련 및 온라인상 실시간 의결권 행사의 기준시점에 대한 상법 정비 방안에 대해 검토하고자 한다. 온라인상 실시간 의결권행사의 근거 마련을 통한 ‘현장대체형 전자주주총회’ 개최와 운용은 결국 전자주주총회 도입을 포괄하는 논의의 완성적 역할을 할 것이고 전자주주총회가 본래의 기능을 달성하여 주주총회를 활성화하는데 핵심적인 기반으로 작용할 것으로 기대한다.

영어초록

General meeting of shareholders is the only channel through which shareholders can participate in the management of the company under the corporate governance structure where ownership and management are separated. Therefore, by being operated as a meeting body that is a place of communication to gather the consensus of shareholders, it should function as a linking body that makes decisions of the company and controls the management. However, active participations by shareholders are not taking place as they show little interest on shareholder meetings as they are problems with attending these meetings given the issues of concentration of the meeting places and dates and as shareholders easily buy and sell their shares.
The ‘electronic general meeting of shareholders system’ allows all processes from opening of general meeting of shareholders to closing after deliberation and resolution be operated online, so attending meetings of shareholders becomes more possible as it allows shareholders to be relatively free from the restrictions of time and place, expanding access and opportunities to express their intentions and allowing companies to effective operate meetings of shareholders. Application of online technologies to general meeting of shareholders' digitalized the convening procedure and the exercise of prior voting rights only as it is reflected in the regulation that electronic notice can be substituted for the notice of convocation (Article 542-4 (1) of the Commercial Act, Article 31 (1) of the Enforcement Decree of the same Act) and the electronic voting system (Article 368-4 (1) of the Commercial Act) with the digitalization of the notice of convocation (Article 363 Paragraph 1 of the Commercial Act) and its special provisions in the case of listed companies, for shareholders who own less than 1% of the total issued stock.
The fact that ‘Electronic Shareholders’ Meeting is a system that enables real-time exercise of voting rights remotely through communications between shareholders and management goes beyond the existing ‘digitalization of convocation of general meeting of shareholders and exercise of voting rights’ and preserves the nature of general meeting of shareholders as conference body and enables it to achieve its role as decision making body.
‘Electronic general meeting of shareholders’ can be categorized into ‘hybrid participation type online shareholders meeting’, ‘hybrid remote-attendance type online shareholders meeting’ and ‘online-only shareholders meeting’ depending on the method of holding and whether shareholder's rights are guaranteed, but the ultimate goal of digitalization of operation of general shareholders' meeting and real-time exercise of voting rights is to introduce ‘online-only shareholders meeting’.
We would like to review the ideas for revising the commercial act for the online real-time exercise of voting rights, amendments and revisions to the current convocation rules under the Commercial Act, the preparation of rules for the attendance agenda, and the reference point of real-time online voting in consideration of the characteristics of the ‘online-only shareholders meeting’, which is held by reflecting the on-site general meeting of shareholders as it is online. Holding and operation of ‘online-only shareholders meeting’ through provision of the basis for online real-time exercise of voting rights will eventually play a role to complete the discussion that includes introduction of electronic general meeting of shareholders and we expect this to serve as a key basis for activating general meeting of shareholders by achieving the original function of electronic general meeting of shareholders.
