합작투자에서 장기적 파트너쉽의 발전을 위한 전제조건: 한독약품 사례를 중심으로 (Prerequisite Conditions for the Development of Long-term Relationship in an International Joint Venture (The Case of Handok Pharmaceutical Co., Ltd.))

초록

연구목적: 본 연구는 외국 파트너 기업과 장기간 합작 관계를 지속시켜 온 한독약품을 통해 합작투자에 있어서 바람직한 파트너 기업 간의 관계, 장기적 파트너쉽을 유지하기 위해 필요한 조건 등을 살펴보았다.
연구설계 및 방법론: 국제합작투자에서 파트너 기업간 신뢰가 형성, 발전되는 과정을 분석하기 위해 본 연구는 한독약품을 사례로 선정하였다. 파트너 기업간 상호작용의 내면적인 속성을 이해하기 위해 질적 연구방법론을 사용하였으며 내부 문서 및 자료의 분석 이외에 CEO 및 20년 이상 파트너 기업과 일해 온 관리자를 상대로 심층면접을 진행함으로써 연구의 유효성을 보강하였다.
분석 및 연구 결과: 한독약품은 합작투자회사로서 한국 현지 파트너 기업인 동시에 독일 측 모회사로부터 지식과 기술을 이전받는 자회사로서의 역할을 수행한 특별한 성격과 구조로 되어 있으며, 약 50여 년에 걸쳐 파트너 기업 간 우호적인 관계를 유지하였다. 한독약품은 독일 파트너 기업인 훽스트와 상생 발전이라는 공동의 가치를 최우선으로 지키고 발전시킴으로써 우호적인 관계를 통해 신뢰를 형성하였고 이를 바탕으로 장기적인 경영 목표를 지향하면서 모회사의 축적된 지식과 기술을 습득할 수 있었다. 뿐만 아니라 단순히 지식을 전달받기 보다는 지속적인 연구개발을 통해 개선된 지식과 역량을 보유하게 됨으로써 비교적 성공적으로 사업을 영위할 수 있었다. 수차례 독일 측 파트너 기업의 경영권이 이전되는 상황에서도 신뢰를 바탕으로 한 파트너쉽은 유지되었고 합작투자 관계는 지속될 수 있었다.
시사점 및 연구의 한계점: 본 연구는 국제 합작투자 사례가 증가하는 현실에서 파트너 기업과 성공적으로 관계를 형성, 유지, 발전시키는데 요구되는 조건을 사례를 통해 심층적으로 분석했다는 점에서 학술적, 실무적인 의미가 있다. 특히, 기존의 일방적인 지식과 기술의 이전이라는 합작투자 방식보다는 자회사가 연구개발 역량을 강화함으로써 파트너 기업 간의 관계도 발전시킬 수 있다는 점에서 실무적으로 유용한 시사점을 제공한다.
향후 연구방향: 단일 사례연구가 내포하고 있는 문제점을 극복하기 위해, 복수의 산업에서 국제합작투자 사례를 조사, 연구함으로써 연구 결과의 일반화를 도모할 수 있을 것이다.
공헌점: 상대적으로 흔치 않은 질적연구방법론을 사용하여 국제합작투자시 파트너 기업간 상호작용 과정 및 결과를 분석하였다는 점이 본 연구의 공헌점이라고 할 수 있다.

영어초록

Purpose: This paper aims to investigate the necessary conditions for the development of a long-term partnership between partners in an IJV. We expect to elucidate the tacit nature of trust building process between partner firms.
Design/methodology/approach: In order to recognize how trustworthy relationships between partners evolve over time in an IJV, Handok was chosen as a case study. A qualitative research methodology is suited for the understanding of the tacit nature of interaction between partners. In-depth interviews including C.E.O. and long-standing managers of Handok together with analyses of archives and documents are believed to increase the validity of the research.
Result/findings: Handok demonstrates a non-conventional structure of an IJV as it acted not only as an IJV but also represented a local partner and subsidiary of the foreign partner. It represented the importance of sharing common values of mutual prosperity between partners so that they can narrow the gap of perceptions in running an IJV. Concrete artifacts that contribute to the alignment of individual interests include holding periodic meetings and sharing activities and performances. Further, continuing R&D efforts of Handok gave a positive impression to its German partner, which became a strong foothold of the partnership in an IJV.
Research implications/limitations: Once trust was built between partner firms, it then leads to a long-term partnership regardless of the changes of ownership of a partner firm. The benefits of trust outweighs the implied costs as they significantly reduce the transaction costs incurred in an IJV. Nonetheless, the case of Handok illustrates that the long-lasting relationship through an IJV could come to an end as the changing environments affect the interests of partners. However, the termination of the partnership does not necessarily mean the failure of an IJV. The limitation of a single case study commonly applies to this study.
Future work/research: Extending the boundary of the current research, including the analyses of multiple industries/firms rather than a single industry or firm, will significantly compensate the shortcomings of this limited study and its implications.
Originality/value: Although a qualitative research embodies the inherent shortcomings, intensive analyses of archives and conducting in-depth interviews with the chairman of Handok as well as with the person who has experience in working with the German partner for more than 20 years enhance the validity of the research.
