상법 속 숨은 오류 찾기 — 회사법을 중심으로 — (Hidden Errors in the Korea Commercial Code: A Call for Precision in Corporate Law Reform)

법무부는 지난 2022년 12월 5일 상사법 제‧개정 및 연구를 위한 자문기구인 ‘상법 특별위원회’ 위원 11명을 위촉하여 전자주주총회 도입, 물적분할시 주주 보호방안 등 향후 상사법 개정 방향에 대한 논의를 시작하였고 그 이후 한국기업 디스카운트를 넘어서서 기업가치 밸류업 논의와 맞물려 상법 개정 논의가 뜨겁게 진행되고 있다.
‘명백한 오류’란 학문적으로 다툼의 소지가 큰 사항들을 제외하고 과거 여러 차례 상법을 개정하면서 조문화 작업과정에서 원래의 입법 의도와는 다르게 해석상 논란을 초래한 사항들이나 명백하게 기술적 오류임이 분명한 사항들, 그리고 학문적으로 크게 다툼이 없거나 적으면서 기술적인 사항에 불과한 사항들이라 할 수 있다. 본고에서는 합자조합에서 유한책임조합원의 업무집행, 주식매수선택권, 자기주식의 취득, 종류주식(특히 상환주식과 전환주식), 회사분할·주식교환이나 이전 등의 경우 주주 부담이 가중되는 경우, 회사기회유용금지, 다중대표소송, 집행임원, 신주인수권의 양도, 감자무효의 소, 회사의 회계, 중간배당, 합병계약 등에 걸쳐 이러한 오류사항들을 열거해보았다.
상법 개정 논의가 이루어지는 와중에 이번만큼은 회사법 규정 중에서 명백한 오류 사항들까지 짚어서 개정이 이루어질 필요가 있다.

영어초록

On December 5, 2022, the Ministry of Justice appointed 11 members to the "Special Committee for Amendment to the Commercial Code," an advisory body for the revision and research of corporate law in Korea. This committee initiated discussions on the future direction of amendments to the Commercial Code, of which corporate law is the main part, including the introduction of virtual shareholders' meeting and reform of shareholder protection measures such as appraisal right in terms of merger, take-over, corporate split-out.
Since then, the debate over amending the Commercial Code has intensified, aligning with broader discussions on overcoming so-called "Korea discount" and enhancing Korean companies' value-up.
The term "manifest errors" refers to provisions that, excluding those subject to significant academic debate, have sparked interpretative controversies due to inconsistencies with the original legislative intent during previous codification efforts. It also encompasses provisions that clearly contain technical errors or are minor technical matters with little or no academic contention.
This study identifies and lists such errors across various areas, including: the execution of duties by limited liability partners in limited partnerships, stock options, acquisition of treasury shares, types of shares (particularly redeemable and convertible shares), shareholder burdens in cases of corporate divisions, stock exchanges or transfers, the prohibition of misappropriating corporate opportunities, multiple derivative actions, executive officers, transfer of subscription rights for new shares, lawsuits challenging the invalidity of capital reductions, corporate accounting, interim dividends, and merger agreements.
Given the ongoing discussions on amending Korean corporate law, it is imperative to address these manifest errors in corporate law provisions to ensure a comprehensive and accurate revision process.
