포이즌 필에 관한 소고 - 신주인수선택권의 도입을 중심으로 - (A Study on the Poison Pill - Focused on Introduction of Stock Purchase Right -)

초록

적대적 M&A에 대하여 극단의 조치를 통해 기업을 방어하는 전략을 통칭하는 용어로서 포이즌 필(poison pill)이 있다. 이것은 적대적 M&A 상황하에서 기업매수인을 제외한 주주들에게 유리한 가격으로 주식을 매입할 수 있는 권리를 주고 그 권리행사의 결과로 기업매수인의 매수가격을 증가시켜 결국 적대적 M&A를 저지할 수 있도록 하는 제도이다.
우리나라의 경우 1997년 외환위기 이후 외국자본에 의한 적대적 M&A의 위협이 현실화되자 약화된 국내기업의 경영권을 방어하기 위한 제도적 장치의 마련이 시급하다는 주장이 강하게 제기되었다.
이에 경영권 방어수단으로서 포이즌 필의 도입여부와 관련된 학계의 지속적인 논의와 함께, 법무부도 2008년 4월 ‘경영권방어법제 개선위원회’를 발족한 이후 2009년 11월 적대적 M&A 방어수단에 관한 「상법 일부개정안」에 대해 공청회를 개최하여 기업경영권 방어수단의 하나인 신주인수선택권을 2011년부터 도입하는 방안을 검토중이라고 발표하였다. 그 이후 동개정안을 2010년 3월 국회에 제출하여 동년 9월 정기국회에 상정되었으나 결국 의결되지 못하고 폐기되었다.
그러나 동제도에 관한 계속된 도입 필요성의 요청에 따라 결국 법무부는 2011년 2월 ‘제1기 상법특별위원회’를 발족․운영하였고 2012년 3월 ‘제2기 상법특별위원회’를 구성하였다. 특히 「상법」 회사편 특별위원회는 신주인수선택권을 도입하기 위하여 법령제․개정사항의 연구에 착수하여 합리적인 도입방안을 모색 중에 있다.

영어초록

Poison pill is strategy to defend the companies through the actions of the extremists against hostile M&A. This is defense strategy to be allowed to shareholders except the corporate buyer can buy the shares as favorable price under conditions of hostile M&A and to deter hostile M&A by increasing the purchase price of the corporate buyer as a result of the exercise of rights.
In the case of Korea, The threat of hostile M&A by foreign capital became a reality after the financial crisis of 1997 and a claim of that devise a system was imperative in order to defend the management of the weakened domestic companies was filed strongly.
As a result, Academics discussed constantly whether the introduction of the poison pill as a means of defense of management rights and Department of Justice also held by hearings on some amendments to the 「Commercial Code」 on defense of hostile M&A November 2009 after established ‘Improvement Committee of Legislation that would defense reigns’ April 2008.
In its place, The Department of Justice has announced that considering that introduces stock purchase right as one of the corporate defenses in 2011. Since then, Such an amendment is submitted to the National Assembly in March 2010 and presented to the National Assembly for approval in September of the same year, but vote in the end and was discarded.
But eventually Department of Justice established ‘the First Commercial Code special committee’ and operating in February 2011 on the request of the continued need on introduction of this scheme and after consisted ‘the Second Commercial Code special committee’ in March 2012.
Especially, Special committee on company side of 「Commercial Code」 has been exploring to introduce reasonable plans and embarked on a study of the decree and amendments of statute in order to introduce stock purchase right.
