초록

주주평등의 원칙에 대한 법리는 종래에 법률로 규정한 경우가 아니면 주주의 차등적 취급은 모두 주주평등의 원칙에 위반한 것이었다. 그러나 주주의 차등적 취급을 정당화할 수 있는 특별한 사정이 있는 경우에는 주주평등원칙의 적용 예외로 주주의 차등적 취급을 허용할 수 있음을 명시하였다. 또한 이러한 차등적 취급을 허용할 수 있는지 여부는 ① 차등적 취급의 구체적 내용, ② 회사가 차등적 취급을 하게 된 경위와 목적, ③ 회사 및 주주 전체의 이익을 위해 필요하였는지 여부와 정도, ④ 일부 주주에 대한 차등적 취급이 상법 등 관계 법령에 근거를 두었는지 아니면 상법 등의 강행법규와 저촉되거나 채권자보다 후순위에 있는 주주로서의 본질적인 지위를 부정하는지 여부, ⑤ 회사의 경영참여 및 감독과 관련하여 권한을 부여하는 경우 그 권한 부여로 회사의 기관이 가지는 의사결정 권한을 제한하여 종국적으로 주주의 의결권을 침해하는지 여부, ⑥ 차등적 취급에 따라 다른 주주가 입는 불이익의 내용과 정도, ⑦ 개별 주주가 처분할 수 있는 사항에 관한 차등적 취급으로 불이익을 입게 되는 주주의 동의 여부와 전반적인 동의율. ⑧ 회사의 상장 여부, 사업목적, 지배구조, 사업현황, 재무상태 등 제반사정을 고려하여 일부 주주에게 우월적 권리나 이익을 부여하여 주주를 차등 취급하는 것이 주주와 회사 전체의 이익에 부합하는지 여부 등 8가지를 주요 판단근거로 제시하였다. 이에 따라 신주인수선택권에 대한 주주의 차등적 취급이 신주인수선택권에 있어서 그 차등적 취급을 정당화할 수 있는 특별한 사정이 있는 경우로 고려될 수 있는지에 대하여 위의 8가지 주요 판단근거에 적용하여 각각 검토하였다.

영어초록

Unless the legal principles of the principle of shareholder equality were previously stipulated by law, all differential treatment of shareholders violated the principle of shareholder equality. However, if there are special circumstances to justify the differential treatment of shareholders, it was specified that the differential treatment of shareholders may be allowed as an exception to the application of the principle of shareholder equality. Whether or not such differential treatment can be allowed is the details of ① differential treatment, ② the reason and purpose of the company's differential treatment, ③ whether and how it was necessary for the benefit of the company and shareholders as a whole, ④ whether the differential treatment of some shareholders is based on related laws such as the Commercial Act, or whether it denies its essential status as a shareholder who violates compulsory laws such as the Commercial Act or is subordinate to creditors, ⑤ In granting authority in relation to the company's management participation and supervision, whether the authority restricts the decision-making authority of the company's institution and ultimately violates shareholders' voting rights, the content and extent of disadvantages suffered by other shareholders due to differential treatment, ⑥ whether shareholders who are disadvantaged by differential treatment of matters that individual shareholders can dispose of ⑦ and overall consent rate. ⑧ Considering the company's listing, business purpose, governance, business status, and financial status, eight main reasons for judgment were presented, including whether it is in the interests of shareholders and the company as a whole to give some shareholders superior rights or profits. Accordingly, whether shareholders' differential treatment of Poison Pill in Korea can be considered as a case where there are special circumstances to justify the differential treatment in Poison Pill was reviewed by applying to each of the above eight main grounds.
